LyondellBasell Industries 8-K Report, Financial Results (Oct 30, 2026)
LyondellBasell Industries N.V. reported third quarter 2026 results on October 30, 2026 (Exhibit 99.1 press release, Exhibit 99.2 segment discussion). Net income was $758 million, or $2.32 per diluted share, compared with $559 million ($1.71 per diluted share) in the second quarter of 2026 and a net loss of $890 million ($(2.77) per diluted share) in the third quarter of 2025. Excluding identified items, net income was $828 million ($2.54 per diluted share). EBITDA was $1,420 million, or $1,512 million excluding identified items. Identified items in the quarter included site closure costs of $77 million, mainly related to the closure of a European propylene oxide joint venture. Sales and other operating revenues were $8,499 million, down from $9,177 million in the prior quarter. Management attributed the sequential decline in profitability in the O&P-Americas segment to lower polymer and olefin prices, while the Intermediates & Derivatives segment delivered materially higher profitability, largely from oxyfuels. Cash and cash equivalents were $3,227 million at quarter end, and total liquidity was $7,685 million. Capital expenditures were $303 million and dividends paid were $224 million. For the fourth quarter, the company expects operating rates of 85% for North American O&P assets, 60% for European O&P assets and 75% for Intermediates & Derivatives assets, and a seasonal release of working capital. Management said conditions in the Middle East are likely to remain fluid, with a return to pre-conflict conditions expected to be non-linear and take longer than anticipated. Separately, on October 29, 2026, the company agreed to sell its wholly owned subsidiary Houston Refining, L.P., which owns the former Houston refinery site and related assets, to a subsidiary of Valero Energy Corporation for $320.5 million. The sale is expected to close in the fourth quarter of 2026, subject to regulatory and other customary closing conditions.
LyondellBasell Industries Quarterly Report for Q3 Ended Sep 30, 2026
LyondellBasell Industries N.V. reported net income of $758 million for the third quarter of 2026, compared with a net loss of $890 million in the third quarter of 2025. Sales and other operating revenues were $8,499 million, up from $7,727 million a year earlier, and operating income was $1,067 million, compared with an operating loss of $731 million. For the first nine months of 2026, net income was $1,442 million, versus a net loss of $598 million in the same period of 2025. The 2025 comparison includes $1,234 million of impairment charges, while the 2026 period includes a $734 million pre-tax loss on the divestiture of select European olefins and polyolefins assets, completed May 1, 2026. Revenues decreased 7% in the third quarter compared with the second quarter of 2026, reflecting lower average sales prices, and management attributes the margin improvement in the first nine months to industry supply constraints related to the conflict in the Middle East. Cash generation improved. Net cash provided by operating activities was $2,199 million for the first nine months of 2026, compared with $755 million in 2025. Capital expenditures were $842 million, down from $1,428 million, and dividend payments were $672 million, down from $1,321 million, reflecting the February 2026 reduction in the quarterly dividend to $0.69 per share. The company repaid the €500 million ($577 million) 0.875% guaranteed notes due 2026. At September 30, 2026, cash and cash equivalents were $3,227 million, total debt including current maturities was $12,331 million, and unused credit facility availability was $4,450 million. Management states it remained in compliance with its debt covenants. A subsequent event occurred on October 29, 2026, when the company agreed to sell its wholly owned subsidiary Houston Refining, L.P., which owns the site of the former Houston refinery, to a subsidiary of Valero Energy Corporation for $321 million, with closing expected in the fourth quarter of 2026. For the fourth quarter, management expects operating rates of 85% for O&P-Americas assets, 60% for European O&P-EAI assets and 75% for I&D assets, and expects a seasonal release of working capital.
LyondellBasell Industries Quarterly Report for Q2 Ended Jun 30, 2026
LyondellBasell Industries N.V. reported second-quarter 2026 net income of $559 million on revenues of $9.18 billion, compared with net income of $115 million on $7.66 billion of revenues in the second quarter of 2025. Results were driven by higher average sales prices across many products, which the filing attributes to industry-wide supply constraints stemming from the conflict in the Middle East. Operating income rose to $1.54 billion from $285 million a year earlier, although the quarter absorbed a pre-tax loss of $734 million on the May 1, 2026 divestiture of select European olefins and polyolefins assets, and a $74 million impairment of a plastic waste sorting facility in Houston. For the first six months of 2026, net income attributable to Company shareholders was $681 million, versus $289 million in the prior-year period, and operating cash flow was $483 million compared with cash used of $228 million a year earlier. Capital expenditures totaled $539 million and dividends paid were $448 million. Cash and cash equivalents were $2.63 billion at June 30, 2026, against total debt including current maturities of $12.91 billion, and total long-term debt fell to $11.22 billion from $12.12 billion at year-end 2025, with the company stating it is in compliance with its debt covenants. Management's outlook states that the pace and timing of conflict-impacted supply returning to the market remains uncertain, with recovery likely extending into 2027. The company expects third-quarter operating rates of 85% for O&P-Americas, 70% for O&P-EAI and 85% for I&D assets, and it lists disciplined deleveraging, including a scheduled note maturity repayment in September 2026, among its capital allocation priorities.
LyondellBasell Industries 8-K Report, Financial Results (Jul 31, 2026)
LyondellBasell Industries N.V. (LYB) reported second quarter 2026 results on July 31, 2026, with net income of $559 million, or $1.71 per diluted share, compared with $125 million ($0.38 per diluted share) in the first quarter of 2026 and $115 million ($0.34 per diluted share) in the second quarter of 2025. Excluding identified items, net income was $1.40 billion, or $4.30 per diluted share. EBITDA was $1.25 billion, or $2.13 billion excluding identified items. The largest identified item was a $734 million pre-tax loss on the sale of business, tied to the May 2026 divestiture of select European olefins and polyolefins assets. Management attributed the improvement to supply-constrained market conditions following geopolitical instability, particularly in the Middle East, which lifted polymer margins and co-product pricing, especially in O&P-Americas, where EBITDA was $1.18 billion. Cash generation and liquidity were also in focus. The company generated $752 million in cash from operating activities, though working capital was a use of cash. It included a $310 million cash contribution tied to completing the European divestiture. Capital expenditures were $270 million, and dividends totaled $224 million, with no share repurchases in the quarter. Cash and cash equivalents were $2.63 billion, and total liquidity was $7.09 billion at June 30, 2026. The company said it remains on target to deliver $500 million of incremental cash through its Cash Improvement Plan by the end of 2026. For the third quarter, LYB expects operating rates of 85% for North American O&P assets, 70% for European O&P assets, and 85% for Intermediates & Derivatives assets. Management noted that the recovery in conflict-impacted supply could extend into 2027, and that a scheduled note maturity will be repaid in September.
LyondellBasell Industries 8-K Report, Material Agreement (May 29, 2026)
LyondellBasell Industries N.V. (LYB) reported in a Form 8-K filed May 29, 2026 that certain subsidiaries entered into an Eighth Amendment to Receivables Purchase Agreement for its structured accounts receivable facility, originated in September 2012 (the "Receivables Facility"). The amendment is effective June 26, 2026. It involves Lyondell Chemical Company as servicer, LYB Receivables LLC, a bankruptcy-remote special purpose entity wholly owned by the company, as seller, and Mizuho Bank, Ltd. as Administrator and LC Bank, along with conduit purchasers, committed purchasers, LC participants, and purchaser agents. The amendment extends the facility's term to June 25, 2027 and reduces the maximum amount available under it from $900 million to $700 million. It also makes certain updates to align the facility with the company's senior unsecured revolving credit facility. The filing states that no other terms of the Receivables Facility have changed materially, and that as of May 29, 2026, there were no trade receivable purchases or letters of credit outstanding under the facility. The filing is primarily a disclosure of a material definitive agreement and a related direct financial obligation under Items 1.01 and 2.03. The full amendment is filed as Exhibit 10.1, and the summary in the report is qualified by reference to that exhibit.
LyondellBasell Industries 8-K Report, Executive Changes (May 22, 2026)
LyondellBasell Industries N.V. (LYB) reported in this Form 8-K, filed in connection with its annual general meeting of shareholders held May 22, 2026, that shareholders approved an amended and restated LyondellBasell Industries Long Term Incentive Plan. The amendments authorize an additional 8,000,000 ordinary shares for issuance under the Plan and cap annual grants to any individual non-executive director at $2 million in aggregate grant-date fair value. The Company also reported that shareholders approved a new share repurchase program authorizing repurchases of up to 10% of issued share capital as of the meeting date, or 34,042,250 shares, running until November 22, 2027. At the meeting, shareholders representing 285,156,235 shares, or approximately 88.34% of shares entitled to vote, were present in person or by proxy. All 12 director nominees were elected to serve until the 2027 annual general meeting, though several received substantial AGAINST or WITHHOLD votes, with Jacques Aigrain receiving 11,723,053 AGAINST votes. Shareholders also approved the Dutch statutory annual accounts for 2025, the appointment of PricewaterhouseCoopers N.V. as Dutch statutory auditor and PricewaterhouseCoopers LLP as independent registered public accounting firm for 2026, the discharge of directors from liability, the advisory say-on-pay resolution, and the cancellation of treasury shares. For investors, the most significant items are the expanded equity incentive pool, the new buyback authorization of up to 34,042,250 shares, and the board-level compensation cap. The filing states that repurchases will depend on market and other conditions and that the program may be suspended or discontinued at any time, with no obligation to acquire any particular number of shares. Full plan terms are described in the April 10, 2026 proxy statement and the plan text is filed as Exhibit 10.1.
LyondellBasell Industries Quarterly Report for Q1 Ended Mar 31, 2026
LyondellBasell Industries N.V. reported first-quarter 2026 net income of $125 million, compared with $177 million in the first quarter of 2025, and income from continuing operations of $139 million versus $23 million a year earlier. Sales and other operating revenues were $7.20 billion, down from $7.68 billion, with the filing attributing the decline mainly to lower average sales prices. Operating income rose to $239 million from $114 million, helped by lower cost of sales (driven by feedstock costs) and the absence of the $117 million European PO Joint Venture closure costs recognized in the prior-year quarter. Diluted earnings per share were $0.38, including a $0.04 loss from discontinued operations, compared with $0.54 a year earlier, which included a $0.48 gain from discontinued operations tied to the Houston refinery exit. Cash flow and balance sheet items weighed on the quarter. Cash used in operating activities was $269 million, driven largely by a $797 million increase in accounts receivable, and cash and cash equivalents fell to $2.64 billion from $3.44 billion at year-end 2025. Total debt including current maturities was $12.92 billion, and the company paid $224 million in common dividends after reducing its quarterly dividend. No share repurchases occurred in the quarter, and approximately 34.0 million shares remained under the current authorization as of April 29, 2026. The filing notes the completion, announced May 1, 2026, of the sale of select European olefins and polyolefins assets, with a pre-tax loss expected in the range of $700 million to $800 million. Management's outlook for the second quarter of 2026 anticipates improved market conditions across most businesses, citing tighter supply and favorable pricing tied to Middle East disruption. The company expects further margin expansion in North America and improved average European margins following the asset sale, while Technology segment licensing results remain under pressure.
LyondellBasell Industries 8-K Report, Financial Results (May 1, 2026)
LyondellBasell Industries N.V. (LYB) reported first quarter 2026 net income of $125 million, or $0.38 per diluted share, and EBITDA of $568 million. Excluding identified items, net income was $163 million ($0.49 per diluted share) and EBITDA was $615 million, compared with $0.33 per diluted share excluding identified items and $576 million of EBITDA excluding identified items in the first quarter of 2025. Management attributed the sequential improvement to the Middle East war, which it said has steepened the global petrochemical cost curve. The Olefins and Polyolefins-Americas segment's EBITDA rose to $327 million from $162 million in the prior quarter, while Olefins and Polyolefins-EAI remained negative at $(35) million. The company used $269 million of cash in operations during the quarter, spent $269 million on capital expenditures and paid $224 million in dividends, ending with $2.6 billion in cash and $7.3 billion in total liquidity. The filing also reports completion of the sale of select European olefins and polyolefins assets and the associated business to AEQUITA, under a sale and purchase agreement dated October 29, 2025. Management said the divestiture is expected to improve average European margins and reduce costs in the second quarter, even though it lowers volumes. For the second quarter, management expects significant sequential improvement across almost all businesses, further North American margin expansion, and operating rates of 80% for European O&P assets and 75% for Intermediates and Derivatives. The Bayport PO/TBA outage that began in March and a delayed restart of the La Porte acetyls assets weighed on Intermediates and Derivatives results. Management also flagged ongoing geopolitical uncertainty and price volatility as risks to the outlook.
LyondellBasell Industries Annual Report, Year Ended Dec 31, 2025
LyondellBasell Industries N.V. (LYB) reported a net loss of $738 million for 2025 compared with net income of $1,367 million in 2024, driven by non-cash impairment charges and weaker petrochemical margins. Revenues fell to $30.15 billion from $33.39 billion, with operating loss of $420 million versus operating income of $1,918 million the prior year. Goodwill impairments of $972 million and other impairments of $279 million, mainly in the O&P-EAI and APS segments, weighed on results. Cash provided by operating activities was $2.26 billion, capital expenditures were $1.88 billion, and dividends paid totaled $1.76 billion. Management announced a 2026 plan to sell select European olefins and polyolefins assets, with closing expected in the second quarter of 2026 and an expected loss of approximately $700 million to $900 million. The company also declared a quarterly dividend of $0.69 per share in February 2026, a $0.68 reduction from the fourth-quarter 2025 dividend. A cash improvement plan achieved $800 million in annualized savings relative to the 2025 plan, with a further $500 million targeted for 2026, for a cumulative target of $1.3 billion. At year-end, the company held cash and cash equivalents of $3.44 billion and total debt of $12.94 billion, with $4.65 billion of unused credit availability. The 2026 capital budget is approximately $1.2 billion, of which about $800 million is for sustaining maintenance. The company also updated its sustainability goals, including a target of 800 thousand metric tons of recycled and renewable-based polymers annually by 2030.

For the full year 2025, the company reported a net loss of $738 million, or $2.34 per diluted share, and EBITDA of $1.1 billion ($2.5 billion excluding identified items), compared with net income of $1,367 million in 2024. Identified items, including non-cash asset write-downs of $1,251 million for 2025, site closure costs, and Cash Improvement Plan costs, weighed heavily on reported results. Excluding these items, full-year diluted EPS was $1.70, versus $6.22 in 2024. The company generated $2.3 billion of cash from operating activities in 2025, with 95% cash conversion, and ended the year with $8.1 billion of total liquidity, including $3.4 billion of cash and cash equivalents. The Cash Improvement Plan delivered $800 million in 2025, and the company raised its cumulative target to $1.3 billion by year-end 2026. Management also cited a planned $1.2 billion capital expenditure budget for 2026 and the planned divestment of four European assets, expected to be completed in the second quarter of 2026. Management described 2025 as a year of difficult petrochemical markets, citing trade disruptions, falling oil prices, and capacity additions that outpaced demand growth. LyondellBasell Industries N.V. (NYSE: LYB) reported 2024 net income of $1.37 billion, down from $2.12 billion in 2023, on sales and other operating revenues of $40.30 billion (versus $41.11 billion in 2023). Operating income fell to $1.82 billion from $3.05 billion, driven by an $837 million non-cash impairment of property, plant and equipment in the O&P-EAI segment tied to European assets under strategic review, and by lower margins in the Refining and I&D segments. Total impairments were $949 million for the year. Cash provided by operating activities was $3.82 billion, capital expenditures were $1.84 billion, and the company returned $1.92 billion to shareholders through dividends ($1.72 billion) and share repurchases ($195 million). The company is executing a strategy built on three pillars: growing and upgrading the core, building a Circular & Low Carbon Solutions business, and stepping up performance and culture. It is also exiting the refining business, with Houston refinery shutdown activities beginning in January 2025 and expected to be substantially completed in the first quarter of 2025. Other portfolio actions in 2024 included the sale of the EO&D business for $689 million, a pre-tax gain of $284 million, and a roughly $500 million acquisition of a 35% stake in National Petrochemical Industrial Company (NATPET). The Value Enhancement Program is estimated to reach a 2025 year-end run rate of approximately $1.0 billion of recurring annual EBITDA. Total debt was $11.15 billion at year-end 2024, against $3.38 billion of cash and cash equivalents and $4.65 billion of unused credit facility availability. Management expects a gradual oxyfuels margin recovery over the summer of 2025 and cites tariff and trade uncertainty as potential headwinds. Planned 2025 capital expenditures are approximately $1.9 billion, of which about $1.2 billion is for sustaining maintenance. Investors should weigh the weaker 2024 earnings, the European impairments and the ongoing strategic review of non-core European assets (about 30% of O&P-EAI production capacity) against the company's continued dividend growth goal and its target of returning 70% of free cash flow to shareholders over the long term.

Management said the Value Enhancement Program delivered a year-end run rate of approximately $800 million of recurring annual EBITDA, and that about $1.25 billion of incremental Normalized EBITDA was unlocked by year-end 2024 against a target of $3 billion by 2027. Oxyfuels and refining margins weakened sequentially on lower crude prices and gasoline crack spreads, and the Refining segment posted negative EBITDA of $(60) million. The company ended the quarter with $2.6 billion in cash and short-term investments and $7.3 billion in total liquidity. Management expects softer fourth-quarter demand from year-end seasonality and continued pressure on oxyfuels and refining margins. The filing also reports construction start on the MoReTec-1 catalytic advanced recycling facility in Wesseling, Germany, which is expected to begin operations in 2026, and a 2030 renewable electricity target that the company says it has already exceeded. Results were furnished under Item 2.02 and are not deemed filed under the Exchange Act.

LyondellBasell Industries N.V. LyondellBasell Industries Quarterly Report for Q3 Ended Sep 30, 2023
LyondellBasell Industries N.V. reported third-quarter 2023 sales and other operating revenues of $10,625 million, down from $12,250 million a year earlier, but up $319 million, or 3%, from the second quarter of 2023. Net income was $747 million, compared with $572 million in the third quarter of 2022, and diluted earnings per share were $2.29, compared with $1.75. For the first nine months, revenues fell to $31,178 million from $40,245 million and operating income decreased $1,876 million, or 41%, to $2,738 million. Net income for the nine months was $1,936 million, versus $3,536 million. The MD&A attributes the decline to lower average sales prices and compressed global olefins and polyolefins margins, partly offset by strong oxyfuels margins in the Intermediates and Derivatives segment. Cash generation weakened over the period. Net cash provided by operating activities was $3,438 million in the first nine months of 2023, compared with $4,515 million a year earlier. The company spent $1,047 million on capital expenditures and returned $1,415 million to shareholders through dividends and share repurchases. Cash and cash equivalents were $2,833 million at September 30, 2023, against total debt of $11,106 million, and total unused credit facility availability was $4,150 million. The company repaid $425 million of 4.0% guaranteed notes due 2023 and issued $500 million of 5.625% guaranteed notes due 2033. Strategically, the company recorded a non-cash goodwill impairment of $252 million in its Advanced Polymer Solutions segment in the first quarter of 2023. It decided to extend operations at its Houston refinery to no later than the end of the first quarter of 2025, rather than ceasing operations by the end of 2023, and it classified its ethylene oxide & derivatives business as held for sale after deciding a sale is the best strategic option. Management expects seasonally softer demand in the fourth quarter of 2023 and said its value enhancement program is progressing ahead of schedule.
LyondellBasell Industries 8-K Report, Financial Results (Oct 27, 2023)
LyondellBasell Industries N.V. reported third quarter 2023 results on October 27, 2023, with net income of $0.7 billion ($747 million) and diluted earnings per share of $2.29, or $2.46 excluding identified items. EBITDA was $1.4 billion ($1,356 million; $1,410 million excluding identified items). Results were supported by a record Intermediates & Derivatives quarterly EBITDA of $708 million, driven by exceptional oxyfuels margins, while olefins and polyolefins margins were compressed by higher feedstock costs, tepid polymer demand in the U.S. and Europe, and new industry capacity. Cash provided by operating activities was $1.7 billion, with cash conversion of 102% over the trailing twelve months. The company returned $448 million to shareholders through dividends and share repurchases and reported total liquidity of $6,994 million at quarter end. Management expects seasonally softer fourth-quarter demand, with higher feedstock costs, new industry capacity and slow Chinese demand growth continuing to pressure global olefins and polyolefins margins. Oxyfuels and refining margins are expected to decrease after the summer driving season, though oxyfuels margins are expected to remain well above historical averages. The company said it is highly confident it will exceed its 2023 recurring annual EBITDA exit run-rate target of $200 million under its Value Enhancement Program. The filing also furnishes a segment-level breakdown and reconciliations of non-GAAP measures, including identified items such as impairments and Houston Refinery exit costs.
