Yum! Brands, Inc. (NYSE: YUM) disclosed in this Form 8-K that it completed the sale of its global Pizza Hut business (excluding the Pizza Hut business in the People's Republic of China, Hong Kong, Macau and Taiwan) to Toppings TopCo, LLC on September 1, 2026, for $1,488,000,000 in cash, subject to certain adjustments under an Equity Purchase Agreement dated June 16, 2026. The company's press release identifies the buyer as LongRange Capital and states that Yum! may also receive an additional earn-out of $75 million by 2030 based on future performance. In a separate Item 5.02 disclosure, Aaron Powell resigned as Chief Executive Officer of the Pizza Hut business and from all other positions with the Company, effective September 1, 2026, in connection with the closing of the transaction. The press release also states that the company operates or franchises more than 44,000 restaurants in 151 countries and territories under the KFC, Taco Bell and Habit Burger & Grill brands.
Yum! Brands 8-K/A Report, Executive Changes (Aug 28, 2026)
Yum! Brands, Inc. (NYSE: YUM) filed this Form 8-K/A, an amendment to its Current Report on Form 8-K filed August 20, 2026, which reported the appointment of Steve Bratspies to the Company's Board of Directors. The amendment, dated August 28, 2026 and signed by Chief Legal Officer and Corporate Secretary Erika Burkhardt, updates the earlier report with a committee assignment that was not made at the time of his appointment. According to the filing, the Board had not appointed Mr. Bratspies to any standing committees when he joined. On August 27, 2026, the Board appointed him to the Management Planning and Development Committee, effective immediately. The filing does not disclose any compensation arrangements, financial figures, or other terms related to this change. For investors, the filing is a governance update of limited financial impact. It confirms that a newly appointed director now sits on the Management Planning and Development Committee, a board committee that the filing's title and context suggest oversees management planning and development matters, though the filing itself does not describe the committee's responsibilities.
Yum! Brands 8-K Report, Executive Changes (Aug 21, 2026)

The filing states there is no arrangement or understanding between Mr. Bratspies and any other person under which he was selected as a director. This is a routine board-composition disclosure with no financial results, guidance, or operational updates included in the filing. For investors, the main takeaways are the addition of a new director and the standard, previously disclosed director compensation terms.
Yum! Brands 8-K/A Report, Executive Changes (Aug 7, 2026)
Yum! Brands, Inc. filed Amendment No. 1 to Form 8-K (Form 8-K/A) dated August 7, 2026, amending its Current Report on Form 8-K filed April 1, 2026, which reported the appointment of Kathleen Oberg to the Company's Board of Directors. Yum! Brands 8-K Report, Material Agreement (Aug 7, 2026)
On August 7, 2026, Yum! Brands, Inc. (NYSE: YUM) completed the sale of the Pizza Hut business in the People's Republic of China to Yum China Holdings, Inc. in exchange for $1.2 billion in cash. Yum China had previously been the exclusive licensee of those rights. In connection with the closing, YRI China Franchising, LLC entered into an Amended and Restated Master License Agreement with Yum Restaurants Consulting (Shanghai) Company Limited, a Yum China subsidiary. The amended agreement removes all references to Pizza Hut and any future Pizza Hut royalties in the PRC. For the KFC and Taco Bell brands, it provides the licensee the opportunity to earn incentives tied to Yum China's achievement of KFC system sales growth targets over the next 12 years, and sets terms for developing long-term Taco Bell growth plans in the PRC. Yum China Holdings also executed a Guaranty in favor of YRI China Franchising, LLC, guaranteeing performance of the licensee's obligations under the amended agreement, including payment obligations. The company's press release states that the separate sale of Pizza Hut, excluding Mainland China, to LongRange Capital remains on track to close in August 2026, subject to customary closing conditions and required regulatory approvals. The press release describes the two agreements together as selling Pizza Hut for $2.7 billion in the aggregate, subject to certain purchase price adjustments relating to the sale outside Mainland China. The filing also notes ongoing risk factors, including the July 2026 cyclospora outbreak and its effect on sales and recovery, the possibility that the LongRange transaction does not close as anticipated, and significant exposure to the Chinese market.
Yum! Brands Quarterly Report for Q2 Ended Jun 30, 2026
Yum! Brands, Inc. reported second-quarter 2026 GAAP net income of $853 million, or $3.08 per diluted share, versus $374 million, or $1.33 per diluted share, in the prior-year quarter. Total revenues rose to $2.169 billion from $1.933 billion, and Operating Profit increased to $655 million from $622 million. Results were significantly affected by a $359 million net deferred tax benefit tied to the planned Pizza Hut sale, which drove a negative quarterly effective tax rate of (60.1)%. Excluding Special Items, diluted EPS was $1.62 versus $1.44 a year earlier, and Core Operating Profit was $683 million versus $650 million. On June 16, 2026, the company entered into two definitive agreements to sell the Pizza Hut brand: Pizza Hut excluding Mainland China to LongRange Capital, and Pizza Hut in Mainland China to Yum China Holdings, Inc. The company expects approximately $2.3 billion of net proceeds across both transactions, with closings anticipated in August 2026, and an additional $75 million earn-out opportunity by 2030. Proceeds are expected to first pay down revolving borrowings, with the majority of the remainder set aside for share repurchases; the Board authorized up to $4 billion of incremental buybacks through June 30, 2028. Balance sheet items warrant attention. Short-term borrowings rose to $2.813 billion from $38 million, largely because the Term Loan A and Revolving Facility were reclassified to current liabilities given the timing of the $750 million Subsidiary Senior Unsecured Notes maturing June 1, 2027. Long-term debt declined to $9.462 billion from $11.872 billion, and total shareholders' deficit was $(7.107) billion. The filing also discloses an unreserved IRS proposed adjustment of approximately $2.1 billion in tax plus $418 million in penalties for fiscal 2014, with interest of approximately $2.3 billion accruing through June 30, 2026, and an India regulatory penalty order of approximately $120 million that the company contests. Taco Bell U.S. also reported a meaningful near-term sales impact from a July 2026 lettuce recall.
Yum! Brands 8-K Report, Financial Results (Jul 30, 2026)
Yum! Brands, Inc. reported second-quarter 2026 results for the quarter ended June 30, 2026 (Exhibit 99.1 earnings press release). GAAP diluted EPS was $3.08 versus $1.33 a year earlier, and EPS excluding Special Items was $1.62 versus $1.44. Worldwide system sales grew 5% excluding foreign currency translation, same-store sales grew 3%, unit count grew 5% with 1,053 gross new units in the quarter, and Core Operating Profit grew 5%. Net income was $853 million versus $374 million, with the large increase driven in part by a $359 million net deferred tax benefit tied to the planned Pizza Hut sale. The most significant development is that on June 16, 2026, the company entered into two definitive agreements to sell Pizza Hut. Pizza Hut excluding Mainland China will be acquired by LongRange Capital, and Pizza Hut in Mainland China will be acquired by Yum China, which will remain master franchisee for KFC and Taco Bell in Mainland China. At June 30, 2026, assets held for sale were $746 million and liabilities held for sale were $262 million. The company expects the Pizza Hut sales to close at significant book gains in the quarter ending September 30, 2026. Pizza Hut division results were weak, with system sales down 2% ex-F/X, same-store sales down 1%, and Core Operating Profit down 14%. Taco Bell (system sales up 9%, same-store sales up 7%, Core Operating Profit up 19%) and KFC (system sales up 6% ex-F/X, same-store sales up 2%, Core Operating Profit up 9%) were the main growth drivers. Special Items of $44 million in the quarter were primarily third-party advisory costs for the Pizza Hut strategic options review. Shareholders' deficit was $7.107 billion at June 30, 2026, and short-term borrowings rose to $2.813 billion from $38 million at year-end 2025. The company stated that disclosures on Restricted Group debt will come with its second-quarter Form 10-Q. The filing notes that the July 2026 cyclospora outbreak could affect sales.
Yum! Brands 8-K Report, Regulation FD Disclosure (Jun 16, 2026)
On June 16, 2026, Yum! Brands, Inc. announced definitive agreements to sell its Pizza Hut business for $2.7 billion in the aggregate, subject to certain purchase price adjustments. Pizza Hut excluding Mainland China will be acquired by LongRange Capital for approximately $1.5 billion, with an additional earn-out of $75 million available by 2030. Pizza Hut in Mainland China will be acquired by Yum China Holdings, Inc. for approximately $1.2 billion. The company expects approximately $2.3 billion of net proceeds after taxes, closing adjustments and transaction-contingent fees, excluding the earn-out, and expects one-time separation expenses of approximately $85 million during the remainder of 2026. The transactions were unanimously approved by the Board of Directors and are expected to close in the third quarter of 2026, subject to customary closing conditions and required regulatory approvals. Following closing, Yum! will no longer report on the Pizza Hut division. Yum! will continue to provide its Byte by Yum! technology platform to Pizza Hut Ex-China and will provide transition corporate services, with fees expected to offset G&A previously allocated to Pizza Hut. The Board also approved an incremental $4 billion share repurchase authorization, and the companies agreed on financial incentives tied to KFC China system sales growth. Updated 2026 financial outlook impacts are to be discussed on the July 30, 2026 second-quarter earnings call.
Yum! Brands 8-K Report, Material Agreement (Jun 16, 2026)
On June 16, 2026, Yum! Brands, Inc. entered into an Equity Purchase Agreement with Toppings TopCo, LLC to sell its global Pizza Hut business, excluding the Pizza Hut business in the People's Republic of China. The purchase price is $1,488,000,000 in cash, subject to adjustments, plus contingent consideration of $75,000,000 if the business meets certain financial targets in fiscal years 2027, 2028 or 2029. Closing is subject to HSR Act expiration or termination, other antitrust approvals and completion of pre-closing reorganization steps. The agreement includes a five-year non-competition covenant and an eighteen-month non-solicitation provision in favor of the purchaser, and the closing deadline is September 16, 2026, subject to extension for regulatory approvals. Separately, the company agreed with Yum China Holdings, Inc. to sell the Pizza Hut business in the PRC for $1.2 billion in cash through a sale of 100% of the interests in Willow Glade Investments, LLC. The China closing will occur two business days after closing conditions are satisfied or waived, but not before the earlier of August 17, 2026 or a date Yum China specifies on at least five business days' notice. The China agreement can be terminated if closing has not occurred by November 16, 2026. The parties will also enter an Amended and Restated Master License Agreement covering KFC and Taco Bell intellectual property in the PRC, which provides Yum China incentive opportunities tied to KFC system sales growth targets over the next 12 years. The filing states that net after-tax proceeds will be used under the company's capital allocation strategy, including investment in the business and returning excess capital to shareholders. The Board approved a new share repurchase authorization of up to $4.0 billion, available through June 30, 2028 and in addition to approximately $400 million remaining under the existing program, which expires December 31, 2026.
Yum! Brands 8-K Report, Executive Changes (Jun 2, 2026)
On June 2, 2026, YUM! Brands, Inc. disclosed under Item 5.02 that Chief Operating Officer and Chief People & Culture Officer Tracy Skeans will transition from both roles effective November 1, 2026 (the Transition Date). She will then serve as a Senior Advisor to the Company through her expected retirement date of March 1, 2028 (the Retirement Date). The Company and Ms. Skeans entered into a Transition and Retirement Agreement. Under it, she will receive her current base salary and remain bonus eligible through the Retirement Date, except she will not be eligible for a bonus for fiscal 2028. She will receive no additional equity awards, but will be eligible for a lump sum payment of $500,000 following her Retirement Date, conditioned on a waiver and release of claims and offered as consideration for forgoing any equity awards that might otherwise have been granted in 2027. Ms. Skeans will continue to vest in her outstanding equity awards through the Retirement Date and remain eligible for employee benefit programs. Because she will be retirement eligible on the Retirement Date, equity awards and benefits will be administered under their terms based on that retirement eligibility. The filing does not name a successor for either role.

Yum! Brands Quarterly Report for Q1 Ended Mar 31, 2026
Yum! Brands, Inc. reported first-quarter 2026 results (quarter ended March 31, 2026) with total revenues of $2.06 billion, up from $1.79 billion a year earlier, and operating profit of $644 million versus $548 million. Net income rose to $432 million, or $1.55 diluted EPS, compared with $253 million, or $0.90 diluted EPS, in the prior-year quarter. The filing notes that the current quarter's results include Special Items, including a credit card interchange fee litigation settlement that contributed about $44 million of income and $37 million of charges tied to the Pizza Hut strategic options review. Excluding Special Items, diluted EPS was $1.50 versus $1.30 a year earlier. The company reported worldwide system sales growth of 6% excluding FX, same-store sales growth of 3%, and 1,030 gross unit openings for a net increase of 400 units. The filing states anticipated repayment dates of August 2030 for the Class A-2-I notes and August 2032 for the Class A-2-II notes, with a legal final maturity in August 2055. If the notes are not repaid by their anticipated repayment dates, additional interest accrues at a rate set by the servicer, with a floor of 5.0% per annum plus specified spreads. The Second Amended and Restated Base Indenture and related Management Agreement also amended several terms, including leverage-based conditions for issuing additional notes, Manager Termination Event thresholds, the Back-Up Manager's expense cap, and the permitted scope of the Competitor definition, many of which take effect once the 2016-1, 2018-1 and 2021-1 Class A-2 notes are no longer outstanding. For investors, the transaction is a securitization refinancing that replaces $938 million of existing notes with $1.5 billion of new notes at fixed coupons, with recourse limited to the Taco Bell securitized royalty streams and related assets rather than the parent company.

The company also disclosed an IRS Notice of Deficiency received in March 2025 asserting an underpayment of $2.1 billion plus $418 million in penalties for fiscal 2014, with interest estimated at approximately $1.5 billion; the company disagrees and plans to file a petition in U.S. Tax Court in the second quarter of 2025. No reserve has been recorded for this matter, which management believes is more likely than not to be sustained, though an unfavorable resolution could have a material adverse impact.

The Middle East conflict was a roughly one-point headwind to worldwide same-store sales, and the company terminated its Turkey franchise agreements in January 2025. The company acquired 216 KFC restaurants in the U.K. and Ireland in April 2024, and sold its approximate 5% Devyani investment for $104 million pre-tax. Brands, Inc. disclosed under Item 5.02 that Mr. Sabir Sami, Chief Executive Officer of the KFC Division ("KFC"), informed the Company on January 10, 2025 that he plans to resign as CEO of KFC effective March 1, 2025. Yum! Brands 8-K Report, Corporate Update (Jan 8, 2025)
Yum! Brands, Inc. terminated its franchise agreements on January 8, 2025 with IS Gida A.S., the owner and operator of all KFC and Pizza Hut restaurants in Turkey and a subsidiary of IS Holding A.S., after the franchisee failed to meet Yum! Brands' standards. The termination affects 283 KFC restaurants and 254 Pizza Hut restaurants in Turkey, and Yum! Brands expects these restaurants to close at least temporarily. Yum! Brands also re-acquired the master franchise rights in Germany for KFC and Pizza Hut from the owner of IS Holding in December 2024, and the filing states there is no impact in Germany from the Turkey termination. The company anticipates a pre-tax special charge of approximately $60 million in the fourth quarter of 2024, consisting primarily of transaction costs associated with the German acquisition and termination-related costs for the Turkey business. The filing states that recent Turkey sales were significantly below the global average sales per restaurant for each brand due to issues specific to this franchisee and market, so the loss of royalties from the closures is expected to have no material impact on core operating profit in 2025 and beyond. The Turkey closures will reduce Yum! Brands' reported unit counts at the end of the first quarter of 2025, which the company describes as a one-time change. Yum! Brands states it remains confident in its global unit growth trajectory and expects no impact from this termination on other markets.
Yum! Brands Quarterly Report for Q3 Ended Sep 30, 2024
Yum! Brands, Inc. reported third-quarter 2024 total revenues of $1.83 billion, up from $1.71 billion in the prior-year quarter, and net income of $382 million, or $1.35 diluted EPS, versus $416 million and $1.46 a year earlier. Year to date, net income was $1.06 billion ($3.73 diluted EPS) versus $1.13 billion ($3.97) in 2023. Diluted EPS excluding Special Items was $1.37 for the quarter and $3.87 year to date. Same-store sales declined 2% for both the quarter and year to date, with the KFC Division down 4% for the quarter and the Pizza Hut Division down 4%, while the Taco Bell Division grew 4%. The filing cites Middle East conflict impacts as a low single-digit headwind to same-store sales growth, with approximately 275 restaurants temporarily closed in affected markets. The company's cash position and capital allocation changed during the period. Operating cash flow was $1.18 billion year to date, compared with $1.16 billion in 2023. Shareholders' deficit stood at $(7.67) billion at September 30, 2024, with total debt of about $11 billion. Yum acquired 216 KFC restaurants in the U.K. and Ireland for $174 million in cash, sold its Devyani investment for $104 million, and repurchased $327 million of stock year to date under a $2 billion May 2024 authorization, leaving $1.7 billion remaining. The company also refinanced its Term Loan A and Revolving Facility, and the net leverage ratio ended the quarter at 4.1x EBITDA. The filing also discloses an unresolved IRS proposed adjustment asserting an underpayment of $2.1 billion plus $418 million in penalties for fiscal 2014, with interest estimated at about $1.3 billion through the third quarter of 2024. The company disagrees, believes its position is more likely than not to be sustained, and has recorded no reserve. An Indian enforcement penalty of approximately $130 million remains under a Delhi High Court stay.

KFC Division system sales grew 1% on a reported basis, with same-store sales down 4% and 685 gross new restaurants opened. Net income fell to $367 million from $418 million, and diluted EPS was $1.28 compared with $1.46. The filing attributes the decline partly to a higher effective tax rate of 24.7% versus 12.6%, and the company's non-GAAP diluted EPS excluding Special Items was $1.35 versus $1.41. Core Operating Profit rose 10% to $645 million, and system sales excluding FX were up 3% for the quarter. Same-store sales declined 1% for the quarter and 2% year to date, with the KFC Division down 3% and Pizza Hut down 3%, while Taco Bell grew 5%. The quarter included the April 2024 acquisition of 216 KFC restaurants in the U.K. and Ireland for a purchase price of $171 million, and the sale of its approximate 5% stake in Devyani International for $104 million in pre-tax proceeds. The company is also disclosing an ongoing Middle East conflict that management describes as a low single-digit headwind to same-store sales growth. Total debt was about $11 billion, with approximately 96% fixed-rate at an effective interest rate of roughly 4.5%, and the company ended the quarter with a net leverage ratio of 4.1x EBITDA. Shareholders' deficit remained at $(7.63) billion. The filing also details an unreserved IRS proposed adjustment of $2.1 billion in tax plus $418 million in penalties for fiscal 2014, with interest estimated at about $1.2 billion through the second quarter of 2024. The company disagrees with the IRS position and believes it is more likely than not to be sustained, so no reserve is recorded. Management says an unfavorable outcome could have a material adverse impact on future financial statements. In May 2024, the board authorized a new $2 billion share repurchase program running through December 31, 2026.

GAAP diluted EPS was $1.28 versus $1.46 a year earlier, and EPS excluding Special Items was $1.35 versus $1.41, a decline the company attributed to a higher current-year tax rate and lower investment income. KFC system sales grew 2% ex-F/X despite a 3% same-store sales decline, with unit count up 8%. Pizza Hut system sales were flat ex-F/X, with same-store sales down 3%. Yum! Brands 8-K Report, Material Agreement (Apr 26, 2024)
On April 26, 2024, Pizza Hut Holdings, LLC, KFC Holding Co. and Taco Bell of America, LLC, each a wholly owned subsidiary of YUM! Brands, Inc. ("YUM" or the "Company"), entered into Refinancing Amendment No. 7 to the Credit Agreement dated as of June 16, 2016, with JPMorgan Chase Bank, N.A. as Collateral Agent, Swing Line Lender, L/C Issuer and Administrative Agent. The amendment refinanced an existing approximately $713 million term loan A facility and a $1.25 billion revolving facility with a new $500 million term loan A (the "Term A Loan") and a $1.5 billion revolving credit facility (the "Revolving Facility"). The new facilities mature on the earliest of April 26, 2029, 91 days before the maturity of the Borrowers' existing term loan B if more than $250 million of it remains outstanding, and 91 days before the maturity of the existing senior notes if more than $250 million of those notes remains outstanding. Interest rates are unchanged in structure: Adjusted Term SOFR or base rate loans plus a leverage-based spread, initially 0.75% for Adjusted Term SOFR loans and 0.00% for base rate loans, ranging from 0.75% to 1.50% and 0.00% to 0.50% respectively. The Term A Loan amortizes at 2.5% per annum in the second and third years and 5.0% per annum in the fourth and fifth years after closing. The amendment removes the excess cash flow mandatory prepayment requirement and the most-favored-nation requirement for the Term A Loan, and increases the swing line sublimit. All other material provisions of the Credit Agreement remain unchanged. The full terms are in Exhibit 10.1, Refinancing Amendment No. 7.

The system operated over 58,000 restaurants in more than 155 countries and territories, with 98% of units operated by franchisees. System sales reached $63.79 billion, and worldwide same-store sales grew 6% with 4,754 gross unit openings and 3,349 net new units. Company-level growth was led by the KFC and Taco Bell divisions, while Pizza Hut grew more modestly. Balance sheet and cash flow data show $11.2 billion of total debt, with approximately 94% effectively fixed-rate at an effective overall rate of about 4.6%, and a consolidated net leverage ratio of 4.2x EBITDA. Net cash provided by operating activities was $1.60 billion in 2023 versus $1.43 billion in 2022. The Board declared a quarterly dividend of $0.67 per share for March 2024, and $1.7 billion remained under the September 2022 share repurchase authorization. Shareholders' deficit was $7.86 billion. The filing highlights several risks and contingencies. The IRS has issued a Revenue Agent's Report asserting a $2.1 billion underpayment of tax plus $418 million in penalties for fiscal 2014, with interest estimated at about $1.1 billion through December 31, 2023; the company disputes the position and carries no reserve. A Middle East conflict was a low single-digit headwind to fourth-quarter same-store sales, and a January 2023 ransomware attack closed fewer than 300 restaurants in one market for one day.

Worldwide system sales excluding foreign currency grew 5%, with 1% same-store sales growth, and GAAP diluted EPS was $1.62 versus $1.29, while EPS excluding Special Items declined 5% to $1.26, which management attributed largely to a $0.23 headwind from quarterly tax rate fluctuations.
