02—Overview
Cheniere Energy Partners Financial Overview 2021–2025
Updated Nov 4, 2026CQP's revenue fell 44% in FY2023, from $17.206 billion to $9.664 billiona, yet net income jumped 70% to $4.254 billion. That gap is the story. Reported earnings here track derivative marks on long-term gas purchase contracts as much as LNG margins. A $3.2 billion favorable derivative swing drove FY2023, and a $1.7 billion reversal cut FY2024 net income to $2.51 billion. The cash engine is steadier than the income statement suggests.
Over the full span, revenue rose from $9.434 billion in FY2021 to $10.758 billionb in FY2025, while net income climbed from $1.630 billion to $2.987 billion. Total debt fell from $17.3 billion to $14.6 billion over the same stretch. In FY2025, operating cash flow reached $2.768 billion, distributions paid were $2.064 billion, and about 85% of anticipated production was contracted.
The derivative noise is now being switched off. Q1 2026 net income fell to $186 millionc on $599 million of unfavorable marks, then rebounded to $1.16 billion in Q2 2026. In June 2026, management moved the IPM agreements to the normal purchases exception, so they are no longer marked to market. Nine-month 2026 net income reached $1.986 billion. The units closed at $53.48 on 2025-12-30, the FY2025 period end. Against the $3.10 annualized base distribution, that is a 5.8% base yield at that price.
Recent Developments (Q2 and Q3 2026)
The most notable development is the lift in payouts. Q3 2026 net income rose to $639 milliond from $506 million, on revenue of $2.574 billion versus $2.404 billion. Adjusted EBITDA reached $954 million versus $885 million. Management tightened 2026 distribution guidance to $3.30–$3.40 from $3.10–$3.40 and declared $0.890 for Q3, including a $0.115 variable piece.
Expansion moved forward. SPL signed a $4.69 billione Bechtel EPC contract for Phase 1 and a QatarEnergy SPA for up to 2 mtpa. FERC issued its final environmental impact statement in September 2026. In June 2026, CQP refinanced $1.5 billion of 5.00% notes with $1.75 billion of new longer-dated debt. Two new independent directors joined the board in July 2026.
Bull case: guidance implies a 4.9%–5.1% yield at the $66.83 close on 2026-10-28, with expansion contracts adding growth. Bear case: the units have risen about 25% since year-end, and FERC siting, DOE approval and financing remain unresolved.
What to watch: FERC and DOE approvals ahead of the Phase 1 final investment decision; Q4 2026 variable distribution

- 8-KCheniere Energy Partners 8-K Report, Corporate Update (Oct 23, 2026)Cheniere Energy Partners, L.P. (NYSE: CQP) filed this Current Report on Form 8-K on October 23, 2026, under Item 8.01 (Other Events) to announce that it declared a quarterly cash distribution of $0.890 per common unit. The distribution is payable on November 13, 2026 to unitholders of record as of November 3, 2026. The filing states that the distribution is comprised of a base amount of $0.775 and a variable amount of $0.115 per common unit, and the Partnership also declared the related distribution to its general partner. The press release attached as Exhibit 99.1 contains tax notices for foreign investors. It states that publicly traded partnerships earning net income effectively connected with a U.S. trade or business are generally required to withhold U.S. income tax from distributions paid to foreign persons. The release states that 100 percent of the Partnership's distributions to foreign investors are attributable to income effectively connected with a U.S. trade or business and are subject to federal income tax withholding at the highest applicable effective tax rate, and that 100 percent of such distributions are in excess of cumulative net income for purposes of Treasury Regulation Section 1.1446(f)-4(c)(2)(iii). The release also serves as qualified notice to nominees, who are treated as withholding agents. The release describes the Partnership as owning the Sabine Pass LNG terminal in Cameron Parish, Louisiana, with liquefaction capacity of over 30 million tonnes per annum, five LNG storage tanks, vaporizers, three marine berths, and the Creole Trail Pipeline. It refers investors to the Quarterly Report on Form 10-Q for the quarter ended June 30, 2026.

The partnership declared a second quarter cash distribution of $0.820 per common unit, comprised of a $0.775 base amount and a $0.045 variable amount, payable August 14, 2026 to holders of record as of August 7, 2026.
