DuPont de Nemours Financial Overview 2021–2025

Updated Nov 4, 2026

DuPont's top line shrank by 59% in five years, from $16.65 billion in FY2021 to $6.85 billiona in FY2025. That is the story: this is a company that sold and spun its way into a smaller, cleaner shape. The thesis is that the shrinking is largely done, and the remaining businesses are growing again on a much lighter balance sheet.

The balance sheet shows it. Total debt fell from $10.78 billion to $3.2 billionb, helped by a $4.1 billion cash distribution from the Qnity spinoff on November 1, 2025. FY2025 sales rose 2% on 3% volume growth, and Healthcare & Water Technologies lifted Operating EBITDA 15% to $972 million. Momentum carried into Q3 2026, when sales rose 4% to $1.87 billion at a 25.1% operating EBITDA margin. Shareholders got a $500 million accelerated repurchase and $1.43 per share in dividends during FY2025.

Reported earnings are noisy. Diluted EPS went from $11.89 in FY2021 to $0.94c in FY2023 to -$1.86 in FY2025, swung by divestiture gains and a $768 million Aramids goodwill impairment. At the close of FY2025 (December 30, 2025), shares traded at $120.60, but a loss per share leaves no meaningful P/E. The main risk is legacy PFAS exposure: indemnification liabilities reached $728 million by Q3 2026, and management says it cannot estimate losses above what is accrued.

Recent Developments (Q2 and Q3 2026)

DuPont closed the Aramids sale to Arclin on April 1, 2026, for about $1.2 billiond in cash, a $300 million note and a $325 million equity stake. Management then raised guidance twice. Full-year adjusted EPS is now $7.47 to $7.52, up from $7.17 to $7.32 in August. Operating EBITDA is guided to about $1.785 billion. Adjusted EPS rose 48% to $1.88 in Q2 2026 and reached $2.09 in Q3 2026, versus $1.29. Free cash flow conversion ran 121% in Q3 2026. A 1-for-3 reverse split took effect June 24, 2026. A $455 million North Carolina PFAS settlement, payable over 15 years, was announced September 9, 2026.

Bull case: organic growth of 5%, rising margins and repeated guidance raises, with $250 millione of buybacks planned for Q4 2026. Bear case: the stock closed at $153.46 on November 2, 2026, and trailing EPS of -$1.86 gives no meaningful P/E. That figure reflects the filing date, not today. PFAS losses beyond accruals remain unquantified.

What to watch: Q4 2026 delivery against the raised guidance; further PFAS accruals or litigation outcomes

Recent SEC Filings

  1. 8-KDuPont de Nemours 8-K Report, Financial Results (Nov 3, 2026)DuPont de Nemours, Inc. filed this Form 8-K on November 3, 2026 to furnish a press release (Exhibit 99.1) announcing third quarter 2026 results, which are presented on a continuing operations basis. Net sales were $1,868 million, up 4% from $1,795 million a year earlier, with organic sales up 5% and a 1% currency headwind. GAAP income from continuing operations rose to $171 million from $102 million, and GAAP EPS from continuing operations was $1.24 versus $0.70. Operating EBITDA was $469 million, up 8%, with the margin at 25.1% versus 24.3%. Adjusted EPS was $2.09 compared with $1.29, a 62% increase. Cash provided by operating activities from continuing operations was $410 million, and transaction-adjusted free cash flow was $341 million, representing 121% conversion. During the quarter the company completed a $250 million accelerated share purchase and substantially completed $100 million of open market repurchases, and it announced an intent to repurchase $250 million of shares in the fourth quarter. Management raised full-year 2026 guidance, now expecting net sales of about $7,190 million, operating EBITDA of about $1,785 million, organic growth of about 4.5%, and adjusted EPS of $7.47 to $7.52. The fourth-quarter outlook calls for net sales of about $1,825 million and adjusted EPS of $1.90 to $1.95. Healthcare & Water Technologies and Diversified Industrials each reported 4% organic sales growth in the quarter, although Water Technologies cited continued disruptions in the Middle East.
  2. 8-KDuPont de Nemours 8-K Report, Material Agreement (Sep 10, 2026)On September 9, 2026, DuPont de Nemours, Inc. entered into a Settlement Agreement with The Chemours Company, Corteva, Inc. and EIDP, Inc., and the State of North Carolina, acting through its Attorney General, along with 11 local government and water authority plaintiffs. The settlement resolves claims relating to PFAS and other emissions from the Fayetteville Works facility, as well as the State's claims of PFAS contamination unrelated to that facility, including contamination associated with aqueous film-forming foam (AFFF). The settlement remains subject to the entry of orders dismissing the covered claims. The settlement includes aggregate cash payments of $455 million to the plaintiffs, payable over 15 years and shared among the companies under the 2021 Memorandum of Understanding (MOU). Of the total, $18 million is attributed to PFAS contamination unrelated to Fayetteville Works, of which no more than $14.4 million, approximately 3 percent, can be ascribed to AFFF. DuPont recorded a probable loss of about $125 million in the second quarter of 2026 within discontinued operations, reflecting the pre-tax net present value of its share of the payments before giving effect to Qnity Electronics Inc.'s obligation to reimburse 44 percent of that share. The companies also agreed to establish a $135 million reserve fund, accessible only if Chemours fails to perform its obligations under its 2019 Consent Order with the State. They further agreed to value the settlement and future settlements at net present value as if payable in equal annual installments over 25 years, discounted at 8 percent, for MOU purposes. Because the New Jersey and North Carolina payments qualify for withdrawal from the MOU escrow account and exceed future escrow contribution obligations, all future escrow contributions, including the one due in September 2026, are considered satisfied.
  3. 8-KDuPont de Nemours 8-K Report, Financial Results (Aug 4, 2026)DuPont de Nemours, Inc. reported second quarter 2026 results in an Item 2.02 8-K, furnishing a press release as Exhibit 99.1. Net sales rose 4% to $1,819 million, with organic sales also up 4%. GAAP income from continuing operations was $191 million, compared with $24 million a year earlier, and GAAP EPS from continuing operations was $1.37. Operating EBITDA increased 6% to $448 million, with an operating EBITDA margin of 24.6% versus 24.2%. Adjusted EPS was $1.88 versus $1.27, up 48%. Cash provided by operating activities from continuing operations was $400 million, and capital expenditures were $76 million. Transaction-adjusted free cash flow was $326 million, up from $107 million, representing 127% conversion. The company also announced its intent to repurchase $250 million of shares in the third quarter, and stated that its GICS classification changed to Industrials effective July 31, 2026. DuPont raised its full-year 2026 guidance. Full-year net sales are now expected at $7,160 million to $7,190 million, operating EBITDA at $1,750 million to $1,770 million, and adjusted EPS at $7.17 to $7.32. The CFO stated the operating EBITDA midpoint is approximately $1.76 billion, the adjusted EPS midpoint is $7.24, and organic sales growth is expected to be slightly above 4%, with mid-single digit organic growth expected in the second half. Results are presented on a continuing operations basis following the Aramids divestiture (completed April 1, 2026) and the Electronics separation into Qnity (November 1, 2025), and a 1-for-3 reverse stock split became effective June 24, 2026.
  4. 8-KDuPont de Nemours 8-K Report, Rights Modification (Jun 24, 2026)DuPont de Nemours, Inc. filed a Current Report on Form 8-K disclosing that it amended its Third Amended and Restated Certificate of Incorporation to effect a 1-for-3 reverse stock split of its common stock. The Certificate of Amendment was filed with the Delaware Secretary of State on June 23, 2026 and became effective at 12:01 a.m. Eastern Time on June 24, 2026. The amendment also reduced the number of authorized shares of common stock by a corresponding ratio. The reverse split was previously approved by stockholders on May 21, 2026 and by the Board of Directors on May 26, 2026. Following the filing of the Certificate of Amendment, the company filed a restated Third A&R Certificate of Incorporation solely to reflect the amendment, effective at 12:02 a.m. Eastern Time on June 24, 2026. The company's common stock will continue to trade on the New York Stock Exchange under the existing ticker "DD," but under a new CUSIP number of 26614N 201. The filing is largely administrative in nature, as it documents a charter change and a change in the stock's CUSIP rather than any change to operations or financial results. Investors should note that the per-share price and share count will be adjusted by the 1-for-3 ratio, and that the corresponding reduction in authorized shares is reflected in the restated charter, which is attached as Exhibit 3.2.
  5. 8-KDuPont de Nemours 8-K Report, Shareholder Vote Results (May 26, 2026)DuPont de Nemours, Inc. reported the results of its 2026 Annual Meeting of Stockholders, held May 21, 2026. Of 409,867,418 shares outstanding and entitled to vote as of the March 30, 2026 record date, 341,319,707 shares were voted, representing 83.27 percent. Stockholders also approved an amendment to the certificate of incorporation to effect a reverse stock split at a ratio of not less than 1-for-2 or not more than 1-for-4, with a corresponding reduction in authorized common shares, by 335,519,752 votes for. On May 26, 2026, the Board of Directors approved a 1-for-3 ratio for the reverse stock split. The company expects the split to become effective at 12:01 a.m. Eastern Time on June 24, 2026, and the Board retains discretion to delay or abandon it. Authorized common shares would decline from 1,666,666,667 to 555,555,556. The filing states that, had the split been implemented as of May 22, 2026, outstanding shares would have fallen from approximately 405,058,202 to approximately 135,019,401, subject to fractional-share adjustments. The company states that the split will not affect any stockholder's proportionate ownership, except for cash payments in lieu of fractional shares. The company reaffirmed its second quarter and full year 2026 guidance for net sales, operating EBITDA and adjusted EPS. Presented on a split-adjusted basis, with a weighted average diluted share count of approximately 137 million shares, adjusted EPS guidance is approximately $1.75 for the second quarter (prior guidance approximately $0.59) and $7.02 to $7.16 for full year 2026 (prior guidance $2.35 to $2.40).
