Royalty Pharma 8-K Report, Financial Results (Nov 4, 2026)
Royalty Pharma 8-K Report, Financial Results (Aug 5, 2026)
Royalty Pharma plc (Nasdaq: RPRX) reported second quarter 2026 results on August 5, 2026, via a press release furnished as Exhibit 99.1. Royalty Receipts grew 14% to $768 million, driven by Tremfya, Voranigo, Imdelltra and Evrysdi, partly offset by declines from Promacta (U.S. generic competition) and Imbruvica. Portfolio Receipts rose 6% to $773 million, though milestones and other contractual receipts fell to $5 million from $56 million, reflecting a one-time distribution in the prior-year period. Net cash provided by operating activities was $728 million versus $364 million a year earlier, and Adjusted EBITDA (non-GAAP) was $736 million, up 16%. Management raised full-year 2026 Portfolio Receipts guidance to $3,400 million to $3,500 million from $3,325 million to $3,450 million, implying expected Royalty Receipts growth of 7% to 10%. Guidance excludes transactions announced after the release date. Interest paid is expected to be $350 million to $360 million, and the $380 million term loan was repaid in July 2026. As of June 30, 2026, the company held cash and cash equivalents of $812 million and total debt with principal value of $9.2 billion. Capital Deployment was $349 million in the quarter, and the company disclosed new transactions of up to $1.7 billion as of August 4, 2026, including a July 2026 acquisition of a portion of the royalty on AstraZeneca's cliramitug for up to $425 million ($125 million upfront).
Royalty Pharma Quarterly Report for Q2 Ended Jun 30, 2026

Operating income declined to $133.1 million from $209.8 million, mainly because of a $268.2 million provision for changes in expected cash flows, largely tied to Adstiladrin, compared with a $203.9 million provision benefit in the prior-year quarter. Cash generation remained strong. Net cash provided by operating activities for the first six months of 2026 was $1.45 billion, up from $960.1 million, and Portfolio Cash Flow was $1.46 billion. The Company is the borrower, and RPH and RPM are guarantors. The agreement refinanced and replaced in its entirety the Revolving Credit Agreement dated September 15, 2021. All obligations under that existing facility were repaid and its commitments were terminated at the effective date of the new agreement. Royalty Pharma 8-K Report, Regulation FD Disclosure (Apr 13, 2026)
Royalty Pharma plc (RPRX) filed this Form 8-K under Item 7.01 (Regulation FD Disclosure) to disclose that Revolution Medicines, Inc. announced positive Phase 3 results from the RASolute 302 trial of daraxonrasib, an oral RAS(ON) multi-selective inhibitor, in patients with previously treated metastatic pancreatic ductal adenocarcinoma (PDAC). The trial met all primary and key secondary endpoints, including progression-free survival and overall survival. Revolution Medicines intends to submit the data to global regulatory authorities, including the FDA, as part of a future New Drug Application under a Commissioner's National Priority Voucher. The filing describes the $2 billion funding agreement announced in June 2025, consisting of a synthetic royalty of up to $1.25 billion on daraxonrasib and a senior secured loan of up to $750 million. Royalty Pharma funded $250 million upfront, and the announcement triggered an additional $250 million tranche. Following this second tranche, Royalty Pharma's total tiered royalty on daraxonrasib sales (and zoldonrasib if approved in an overlapping indication) is 4.55% on sales from $0 to $2 billion, 2.50% on sales from $2 billion to $4 billion, and 1.00% on sales from $4 billion to $8 billion. The filing also describes up to $750 million in additional synthetic royalty funding at Revolution Medicines' option upon certain regulatory, commercial and clinical milestones, including the next $250 million on FDA approval in metastatic PDAC. If fully drawn, the royalty rates would increase to 7.80%, 4.55% and 2.40% across the same sales bands. Separately, Royalty Pharma is providing a senior secured term loan of up to $750 million in three tranches; the first $250 million must be drawn following FDA approval of daraxonrasib for metastatic PDAC, and the two remaining $250 million tranches are at Revolution Medicines' option based on trailing four-quarter net sales milestones.

Portfolio Receipts were $874 million in Q4 2025, up 18% from $742 million, and $3,254 million for FY 2025, up 16% from $2,801 million. Net cash provided by operating activities was $827 million in Q4 2025 and $2,490 million for FY 2025, down 10% for the full year. The company deployed $2.6 billion of capital in 2025, including $1.2 billion of share repurchases (37 million Class A shares) and a record amount of capital returned to shareholders. It also highlighted the successful internalization of its external manager, which extinguished the management fee after May 16, 2025. Management guided 2026 Portfolio Receipts to $3,275 million to $3,425 million, excluding future transactions, with Royalty Receipts growth of 3% to 8% and interest paid of $350 million to $360 million. The quarterly dividend was raised 7% to $0.235 per share in Q1 2026. At year-end 2025 the company had cash and cash equivalents of $619 million and total debt with principal value of $9.2 billion. Investors will watch 2026 catalysts the release names, including pivotal study results for daraxonrasib, pelacarsen and litifilimab, along with new royalty transactions such as the up-to-$500 million Teva TEV-'408 funding agreement announced in January 2026.
Royalty Pharma Annual Report, Year Ended Dec 31, 2025
Royalty Pharma plc (RPRX) reported 2025 Portfolio Receipts of $3.3 billion ($3,254,361 thousand), up from $2.80 billion in 2024, with Royalty Receipts of $3.13 billion. Total income and other revenues rose 5.1% to $2.38 billion, but consolidated net income was roughly flat at $1.32 billion and net income attributable to Royalty Pharma plc fell 10.2% to $770.9 million. The decline was driven by a $1.03 billion swing in the provision for changes in expected cash flows (a $295.8 million provision income in 2025 versus $732.5 million expense in 2024), a $336.8 million increase in G&A expenses (largely share-based compensation following the May 2025 Internalization), and $450.0 million of R&D funding expense, partly offset by a $267.1 million increase in operating income. The company deployed $2.6 billion of cash on royalties, milestones and other contractual receipts in 2025, returned $511.9 million through dividends and distributions and repurchased $1.2 billion of Class A shares, and ended the year with $9.2 billion of principal borrowings against $618.7 million of cash. Net cash from operating activities was $2.49 billion, down from $2.77 billion. The filing notes ongoing dispute resolution with Vertex over Alyftrek royalty receipts, and states that Vertex accounted for 35% of 2025 total income and other revenues. For investors, the key items are the strong growth in cash receipts and the large non-cash swings in GAAP income from the effective interest accounting model, alongside higher leverage, higher interest expense ($307.7 million, up 36.4%) and the increased compensation cost of the Internalization.

Total income and other revenues rose 5.3% to $564.7 million in the quarter, while income from financial royalty assets was $533.2 million for the quarter and $1.59 billion for the first nine months, down from $1.67 billion a year earlier, largely because of a non-recurring $475.0 million Zavzpret milestone in the first quarter of 2023. Portfolio Receipts were $734.6 million in the third quarter, up 15.3%, and $2.06 billion for the first nine months, down 10.9% from $2.31 billion, reflecting the prior-year milestone. Cash from operating activities for the first nine months was $2.03 billion. The company invested $2.2 billion in royalties, milestones and other contractual receipts in the first nine months, and in November 2024 it acquired a Niktimvo royalty for a $350 million upfront payment. Total debt principal was $7.8 billion at September 30, 2024, after the June 2024 issuance of $1.5 billion of senior unsecured notes, and cash and cash equivalents were $950.1 million. Shareholders received $282.8 million in dividends ($0.21 per Class A share in each of three quarterly payments) during the first nine months, and the company repurchased 6.6 million Class A shares for about $179.7 million, with $515.6 million remaining under the $1.0 billion authorization. Vertex accounted for 36% of total income and other revenues in the third quarter of 2024 (41% in the prior-year quarter).

Royalty Pharma plc (RPRX) reported second-quarter 2024 results for the three months ended June 30, 2024, with total income and other revenues of $537.3 million, roughly flat versus $538.2 million a year earlier. Net income attributable to Royalty Pharma plc was $102.0 million, or $0.23 per diluted Class A share, compared with $227.6 million, or $0.50, in the second quarter of 2023. For the first six months, net income attributable to Royalty Pharma plc was $106.8 million, down from $568.4 million, largely because the prior-year period included a $475.0 million Zavzpret milestone payment and non-recurring interest income. On June 17, 2024, PTC Therapeutics, Inc. exercised an option to sell half of its retained royalties on Roche's Evrysdi to a subsidiary of Royalty Pharma plc for approximately $242 million upfront. The filing states that this option arose from the Evrysdi royalty transaction with PTC announced in October 2023. Evrysdi, an oral SMN2 splicing modifier for spinal muscular atrophy approved by the FDA in 2020, generated sales of approximately CHF 1.4 billion ($1.6 billion) in 2023, an increase of 39% at constant exchange rates. After the transaction, Royalty Pharma's ownership of the Evrysdi royalty rises from 81% to 90.5% (before the cap), equating to a royalty of 7.2% to 14.5% on worldwide net product sales, not including any future PTC option exercises. Royalty Pharma will receive the increased share starting with royalties paid on sales for the second quarter of 2024. The total funding across its Evrysdi royalty transactions is $1.9 billion upfront, including up to $250 million for an option. PTC retains the option, exercisable until December 31, 2025, to sell its remaining 9.5% of the Evrysdi royalty to Royalty Pharma for $250 million less royalties received. The filing estimates the duration of the royalty stream at 2030-2035 for the 2020 deal and 2035-2036 for the later transactions.

The filing itself does not describe the use of proceeds. The full terms are in the exhibits, including the Base Indenture and Third Supplemental Indenture, and legal opinions from Davis Polk & Wardwell LLP.

Royalty Pharma 8-K Report, Corporate Update (May 29, 2024)
Royalty Pharma plc filed this Form 8-K under Item 8.01 (Other Events) to disclose that Johnson and Johnson announced positive results from the pivotal Phase 3 MDD3001 clinical trial of seltorexant. Seltorexant is described as a potential first-in-class selective antagonist of the human orexin-2 receptor, being studied as an adjunctive treatment to baseline antidepressants in adult and elderly patients with major depressive disorder (MDD) with insomnia symptoms. According to the filing, the study met all primary and secondary endpoints and was safe and well-tolerated. The filing notes that there are currently no approved therapies to treat MDD with insomnia symptoms, and that the findings will be presented at this year's American Society of Clinical Psychopharmacology Annual Meeting. For Royalty Pharma, the filing states the company is entitled to a mid-single digit royalty on worldwide net sales of seltorexant. The filing also cites Johnson and Johnson's December 2023 Enterprise Business Review, in which the company stated that seltorexant has the potential for non-risk adjusted peak sales of between $1 billion and $5 billion. The filing is a disclosure of a third-party clinical milestone rather than a financial result for Royalty Pharma, and it includes no quantified financial impact on the company's own results. Investors should view it as a pipeline-related development affecting a royalty asset whose future value depends on commercialization and regulatory outcomes, which the filing does not address.
Royalty Pharma 8-K Report, Financial Results (May 9, 2024)
Royalty Pharma plc (Nasdaq: RPRX) reported first quarter 2024 results on May 9, 2024, as described in Exhibit 99.1 (press release) furnished under Item 2.02. Portfolio Receipts were $717 million, down 37% from $1,131 million in the prior-year quarter, reflecting a high comparison base: the first quarter of 2023 included a $475 million Zavzpret milestone payment and a $29 million Airsupra payment. Royalty Receipts grew 14% to $705 million, driven by Trelegy, the cystic fibrosis franchise and incremental Evrysdi royalties acquired in October 2023. Net cash provided by operating activities was $665 million, versus $1,034 million a year earlier, and Adjusted EBITDA (non-GAAP) was $656 million. Portfolio Cash Flow (non-GAAP) was $584 million. Management confirmed full-year 2024 guidance, with Portfolio Receipts expected at $2,600 million to $2,700 million, excluding future transactions. That guidance includes expected Royalty Receipts growth of 5% to 9%. The company also announced an agreement to acquire royalties and milestones on Sanofi's frexalimab from ImmuNext for approximately $525 million in cash including estimated transaction costs. Capital Deployment in the quarter was $93 million, and the company cited more than $3.5 billion of financial capacity including cash and leverage. Cash and cash equivalents were $843 million and total debt principal was $6.3 billion as of March 31, 2024. The filing also highlights a development-stage portfolio of 15 therapies, 11 of which are in Phase 3 development or under regulatory review. Key expected events over the next year include FDA filings for aficamten and pelabresib, pivotal results for seltorexant and Tremfya in Crohn's disease, and an FDA action date for KarXT. The release states a commitment to grow the dividend by a mid-single-digit percentage annually.
Royalty Pharma Quarterly Report for Q1 Ended Mar 31, 2024
Royalty Pharma plc's first-quarter 2024 results show a sharp drop in profitability driven by a non-cash provision for changes in expected cash flows from financial royalty assets. Total income and other revenues were $567,978 thousand (about $568.0 million) versus $683,971 thousand in the first quarter of 2023, a decrease of $115,993 thousand (17.0%). The company recorded a provision for changes in expected cash flows of $583,600 thousand, against $118,804 thousand a year earlier, primarily related to the cystic fibrosis franchise and Crysvita. As a result, the company reported an operating loss of $73,774 thousand and net income attributable to Royalty Pharma plc of $4,778 thousand, or $0.01 per diluted Class A share, compared with $340,755 thousand, or $0.76 per share, in the prior-year quarter. The prior-year quarter included a non-recurring $475.0 million Zavzpret milestone payment. Cash generation remained substantial even as GAAP earnings fell. Net cash provided by operating activities was $664,638 thousand, compared with $1,033,837 thousand in the first quarter of 2023. Portfolio Receipts were $716,997 thousand versus $1,131,033 thousand, and Adjusted EBITDA (non-GAAP) was $656,476 thousand. Cash and cash equivalents rose to $843,000 thousand at March 31, 2024, from $477,010 thousand at December 31, 2023. The company paid a quarterly dividend of $0.21 per Class A share totaling $93.8 million, invested $93 million in royalties, milestones and other contractual receipts during the quarter, and did not repurchase any shares. Senior unsecured notes totaled $6.3 billion in par value, and the company had $1.8 billion of revolving commitments available. Subsequent to quarter end, the company announced it would acquire royalties and milestones on frexalimab from ImmuNext, Inc. for approximately $525 million including estimated transaction costs. The filing also notes that the company's accounting model for financial royalty assets can produce volatile and unpredictable GAAP results, and that the company will consider Portfolio Receipts as its key operating performance measure.
Royalty Pharma Annual Report, Year Ended Dec 31, 2023
Royalty Pharma plc's 2023 Form 10-K reports Portfolio Receipts of $3.05 billion, up from $2.79 billion in 2022, with royalty receipts of $2.45 billion and milestones and other contractual receipts of $599.3 million. The company describes itself as the largest buyer of biopharmaceutical royalties and deployed $2.2 billion of cash in 2023 to acquire royalties, milestones and other contractual receipts. Net income attributable to Royalty Pharma plc rose to $1.13 billion in 2023 from $42.8 million in 2022, driven largely by the absence of 2022's $615.8 million financial royalty asset impairment and a $366.2 million other income, net line item that included $230.8 million of gains on available for sale debt securities. Operating income was $1.49 billion versus $307.1 million a year earlier. Cash generation and shareholder returns were strong. Net cash provided by operating activities was $2.99 billion, versus $2.14 billion in 2022, helped by a $475.0 million Zavzpret milestone. The company repaid $1.0 billion of senior unsecured notes in September 2023, paid $358.3 million in dividends ($0.20 per quarter), and repurchased Class A shares for $304.8 million. Total senior unsecured notes were $6.3 billion at year end, with $1.8 billion available under the revolving credit facility, and the company reported compliance with its financial covenants. Investors should note that reported GAAP results are volatile because most royalties are accounted for as financial assets under the effective interest method. The 2023 provision for changes in expected cash flows was $560.7 million expense, and the filing states that Vertex's cystic fibrosis franchise accounted for 36% of total income and other revenues. The filing also highlights concentration risk: the top five product franchises represented 66% of royalty receipts in 2023, and the company is externally managed by RP Management, LLC, with Operating and Personnel Payments set at 6.5% of Portfolio Receipts.
Royalty Pharma 8-K Report, Financial Results (Feb 15, 2024)
Royalty Pharma plc (Nasdaq: RPRX) reported fourth quarter and full year 2023 results on February 15, 2024, as furnished in Exhibit 99.1, a press release. Portfolio Receipts, now the company's key performance metric, were $736 million in Q4 2023, down 31% from the prior year period because of accelerated Biohaven payments received in Q4 2022. For full year 2023, Portfolio Receipts rose 9% to $3,049 million, driven by strong portfolio performance and new royalty acquisitions. Net cash provided by operating activities was $773 million in Q4 and $2,988 million for the full year, and Adjusted EBITDA was $2,806 million for 2023. Royalty receipts grew 10% in the quarter and 8% for the year. The company announced new transactions of up to $4.0 billion in 2023 and reported Capital Deployment of $2.2 billion for the year. Cash and cash equivalents were $477 million and total debt principal was $6.3 billion at December 31, 2023. The company also repurchased about 10 million shares for $305 million in 2023 under its $1.0 billion program. Management guided 2024 Portfolio Receipts to $2,600 million to $2,700 million, including expected royalty receipts growth of 5% to 9%, excluding future transactions. For investors, the key takeaways are the year-over-year growth in royalty receipts and the 2024 guidance, which excludes transactions announced after the release date. The Q4 decline in headline receipts reflects a one-time item in the prior year rather than a deterioration in the royalty base. Interest paid is expected to be about $160 million in 2024.
Royalty Pharma 8-K Report, Corporate Update (Feb 6, 2024)
Royalty Pharma plc (RPRX) filed this Form 8-K under Item 8.01 (Other Events) to disclose its financial exposure to MorphoSys AG following an agreement announced February 5, 2024, under which Novartis would acquire MorphoSys for €68 per share. Royalty Pharma's July 2021 strategic funding partnership with MorphoSys committed up to $2.025 billion to enable MorphoSys's acquisition of Constellation Pharmaceuticals, in exchange for royalties, development funding bonds and equity. Royalty Pharma holds royalties on four therapies: a 3% royalty on future net sales of pelabresib (myelofibrosis, with an NDA expected mid-2024 based on the phase 3 MANIFEST-2 study), a 3% royalty on tulmimetostat (phase 2 EZH2 inhibitor), a tiered mid-single digit royalty on Tremfya (marketed by Johnson and Johnson, which generated $3.1 billion in 2023 sales), and a tiered 3.3% to 4.2% effective royalty on trontinemab (Alzheimer's, in development by Roche). The company provided $300 million in exchange for Development Funding Bonds, which MorphoSys will repay through 36 consecutive payments totaling approximately $660 million (2.2 times the funded amount), beginning in the fourth quarter of 2024. Royalty Pharma also acquired 1,337,552 MorphoSys shares, which the filing states would be worth approximately $100 million at the proposed Novartis acquisition price and current exchange rates. The acquisition would therefore likely accelerate realization of Royalty Pharma's MorphoSys-related investments, though the filing does not state the timing or terms of any such payoff.
Royalty Pharma 8-K Report, Financial Results (Jan 8, 2024)
Royalty Pharma plc (Nasdaq: RPRX) furnished an 8-K on January 8, 2024 disclosing a preliminary, unaudited update on its fiscal 2023 results, issued via a press release (Exhibit 99.1) ahead of the 42nd Annual J.P. Morgan Healthcare Conference. The company expects full-year 2023 Portfolio Receipts of approximately $3,050 million, which includes a $50 million payment related to oral zavegepant and exceeds the upper end of its previous guidance range of $2,950 million to $3,000 million. Management cites underlying growth of 11% year-over-year before Biohaven-related payments, and expects Net cash provided by operating activities of approximately $2,980 million to $2,990 million for 2023. The release also highlights capital deployment: announced transactions of approximately $13 billion since 2020, including $4.0 billion in 2023, and $775 million of synthetic royalty transactions in 2023, the company's strongest year for that category. Management states that investments made since 2020 are estimated to add approximately $1.2 billion to Portfolio Receipts in 2025 based on consensus sales forecasts. The company also reiterated a capital deployment target of $10 billion to $12 billion for 2022 through 2026. The company is renaming its Royalty Receipts metric as Portfolio Receipts, which it says yields the same total as the former Adjusted Cash Receipts while presenting royalty receipts net of legacy non-controlling interests. Because the figures are preliminary and unaudited, they remain subject to change pending final adjustments and audit, and a full fourth-quarter and full-year 2023 results conference call is expected in February 2024.
Royalty Pharma 8-K Report, Material Agreement (Dec 27, 2023)
On December 22, 2023, Royalty Pharma plc and its consolidated subsidiary Royalty Pharma Holdings Ltd. entered into Amendment No. 3 to the Amended and Restated Revolving Credit Agreement with Bank of America, N.A., as Administrative Agent, and the other lenders. The amendment increases total borrowing capacity under the unsecured revolving credit facility from $1.5 billion to $1.8 billion. It also extends the maturity of $1.69 billion of the revolving commitments from October 31, 2027 to December 22, 2028, while the remaining $110 million continues to mature on October 31, 2027. The amendment also makes certain other technical modifications. The facility bears interest at either a base rate or Daily SOFR, the Alternative Currency Term Rate or the Alternative Currency Daily Rate, in each case plus an applicable margin. The credit agreement requires the company to keep a consolidated leverage ratio of funded debt to Adjusted EBITDA at or below 4.00 to 1.00, or at or below 4.50 to 1.00 following a qualifying material acquisition. It also requires a consolidated coverage ratio of Adjusted EBITDA to consolidated interest expense at or above 2.50 to 1.00. The agreement includes customary limits on additional indebtedness, dividends, certain payments, and the acquisition and disposition of assets. For investors, the filing reports a larger, longer-dated liquidity source under the revolver and sets out the financial maintenance covenants that govern it. The filing states that the full credit agreement is attached as Exhibit 10.1 and that the summary is qualified by reference to that document.
