(UAL) reported third-quarter 2026 operating revenue of $17.88 billion, up from $15.23 billion, and net income of $1,029 million, up from $949 million in the year-ago quarter. Passenger revenue rose $2.4 billion, or 17.6%, driven by a 16.8% increase in yield and a 2.4% increase in passengers flown. Nine-month net income was $2,533 million, compared with $2,309 million a year earlier, and diluted EPS was $7.74 versus $7.02. Cash from operations was $6.87 billion for the nine months, down from $7.15 billion, primarily reflecting the flight attendant ratification payment and working capital changes, partly offset by higher advance ticket sales. Capital expenditures were $5.15 billion, up from $3.98 billion. The company made no share repurchases in the third quarter, and $755 million remained available under its repurchase program as of October 15, 2026. Operating expense rose to $8.942 billion from $4.602 billion, driven mainly by a $1.4 billion increase in fuel costs, which the filing links partly to the Russia-Ukraine conflict, and by the absence of the prior-year $1.8 billion CARES Act grant. The company operated at approximately 81% of its first quarter 2019 capacity. Operating loss was $1.376 billion, roughly flat with the prior year. Liquidity remained substantial, with $18.7 billion of unrestricted cash, cash equivalents and short-term investments at March 31, 2022, versus $18.4 billion at December 31, 2021. The filing is a combined Form 10-Q for UAL and its principal subsidiary United Airlines, Inc., whose results are nearly identical to UAL's. United Airlines Holdings, Inc. (UAL) and its principal subsidiary United Airlines, Inc. filed a combined Form 10-Q for the quarter ended March 31, 2021. The operating loss was partly offset by a $1,810 million CARES Act grant credit recorded in special charges, which reflects funding under the PSP2 Agreement. Management said the company cut about 54% of first-quarter 2021 scheduled capacity versus first-quarter 2019 and expects second-quarter scheduled capacity to be down about 45% versus second-quarter 2019. Passenger revenue fell 84.3% year over year, and the operating loss was $1.6 billion. For the first nine months of 2020, the net loss was $5.2 billion. The company attributes these results to the COVID-19 pandemic, which caused a precipitous decline in passenger demand. The third-quarter passenger load factor was 47.8%, versus 86.1% a year earlier. The company cut roughly 70% of its third-quarter scheduled capacity versus 2019, expects fourth-quarter scheduled capacity to be down about 55% year over year, and expects demand to plateau around 50% of 2019 levels until an accepted COVID-19 treatment or vaccine is widely available. For the six months ended June 30, 2020, the net loss was $3.33 billion, compared with net income of $1.34 billion a year earlier. Liquidity was supported by substantial new financing. Operating revenue fell 16.8% to $7.98 billion, with passenger revenue down 19.0% to $7.07 billion, as COVID-19 sharply reduced international and domestic demand. Operating loss was $972 million versus operating income of $495 million in the prior-year quarter. Nonoperating expense included a $697 million expected credit loss on the BRW Term Loan and related guarantee tied to Avianca's COVID-19 impact, along with $319 million of unrealized investment losses. The company stated it expects to be materially impacted in full-year 2020 and to incur a net loss for the year. Management also noted that the company has a significant amount of fixed obligations and that its credit ratings are below investment grade, with ratings of BB- from S&P and Fitch and Ba2 from Moody's for UAL. United is in default under the $456 million BRW term loan tied to its investment in Avianca Holdings, though management concluded the loan is not impaired based on collateral value. The most significant effect is that certain ancillary fees moved from other operating revenue into passenger revenue. Traffic rose 4.7% and capacity rose 3.6%, with a passenger load factor of 80.4%. Unrestricted liquidity was $6.5 billion at March 31, 2018, including $2.0 billion of undrawn revolver capacity, and the company repurchased about 8.4 million shares for $0.6 billion. The filing notes that UAL's credit ratings are below investment grade (BB by S&P and Fitch, Ba2 by Moody's), and that current liabilities exceeded current assets by about $5.9 billion, largely due to advance ticket sales and frequent flyer deferred revenue. Looking ahead, the company expects 2018 consolidated available seat miles to grow 4.5% to 5.5%, and a one-dollar change in the price of a barrel of crude oil would change annual fuel expense by approximately $97 million. Aircraft capital commitments totaled $22.4 billion at quarter end, and debt and capital lease obligations were approximately $15.0 billion.

United Airlines Holdings Quarterly Report for Q3 Ended Sep 30, 2017

United Continental Holdings, Inc. (UAL) and its wholly-owned subsidiary United Airlines, Inc. filed this combined Form 10-Q for the quarter ended September 30, 2017. Third-quarter 2017 net income was $637 million, or $2.12 per diluted share, versus $965 million, or $3.01 per diluted share, in the third quarter of 2016. Operating revenue was essentially flat at $9.88 billion, down $35 million, while operating expense rose 6.0% to $8.79 billion, leaving operating income of $1.09 billion, a decrease of $532 million. Management attributed part of the pressure to about 8,300 canceled flights from severe weather, which it estimated reduced pre-tax income by $185 million, and to a 12.9% increase in aircraft fuel expense. Consolidated passenger revenue fell 0.9% as load factor declined 1.1 points, with the Pacific region's PRASM down 10.4% due to supply and demand dynamics in China. For the first nine months of 2017, net income was $1.55 billion, or $5.04 per diluted share, compared with $1.87 billion in the prior-year period, and operating income was $2.77 billion versus $3.33 billion. Operating cash flow was $2.69 billion, against $4.88 billion a year earlier, and capital expenditures were $2.90 billion. Unrestricted liquidity was $6.3 billion at September 30, 2017, including $2.0 billion of undrawn revolver capacity. The company repurchased about 18 million shares for $1.3 billion in the nine months, with roughly $0.6 billion of authorization remaining. Management stated that the company's credit ratings are below investment grade (UAL rated BB- by S&P, Ba2 by Moody's and BB by Fitch), and that its working capital deficit is largely driven by advance ticket sales and frequent flyer deferred revenue. The filing also flags forward-looking commitments: aircraft purchase commitments total about $22.0 billion, with about $3.0 billion due in 2018, and full-year 2017 consolidated capacity is expected to grow roughly 3.5%. The company also disclosed that ASU 2017-07 and ASC 606 are expected to reclassify about $2.0 billion of ancillary fees from other operating revenue into passenger revenue upon adoption on January 1, 2018, with no material earnings impact expected.

Total commitments for aircraft and other capital purchases were approximately $22.0 billion, and the company's credit ratings remained below investment grade (S&P BB-, Moody's Ba2 for UAL, Fitch BB). The filing also notes that UAL and United have no fuel hedges outstanding as of June 30, 2017, and that a new Topic 606 revenue standard, adopted January 1, 2018 on a full-retrospective basis, will reclassify certain passenger ancillary fees into passenger revenue without a material impact on earnings. Working capital was a deficit of approximately $5.3 billion, largely reflecting advance ticket sales and frequent flyer deferred revenue.

Unrestricted cash, cash equivalents and short-term investments totaled $5.96 billion at June 30, 2013, down from $6.54 billion at year-end 2012, and the company reported $1.0 billion of undrawn revolver capacity. Total debt and capital lease obligations were approximately $12.0 billion, and the company stated it had $23.5 billion of capital commitments, mainly for aircraft. The filing notes that UAL's credit ratings are below investment grade (S&P B, Moody's B2, Fitch B) and that financing for much of its firm aircraft orders is not yet in place. During the quarter the company exchanged about $189 million of 6% convertible senior notes for roughly 22 million shares of UAL common stock, issued $300 million of 6.375% Senior Notes due 2018, and refinanced a $1.2 billion term loan through a new $900 million term loan and $1.0 billion revolving facility. The filing also reports that the company recorded a $442 million actuarial gain in other comprehensive income from a pension remeasurement, and it discusses ongoing litigation related to the September 11, 2001 attacks.

  42. 2013-Q1

United Airlines Holdings Quarterly Report for Q1 Ended Mar 31, 2013

United Continental Holdings, Inc. (filing as such; combined report with its principal subsidiary United Airlines, Inc.) reported a first-quarter 2013 net loss of $417 million, or $1.26 per diluted share, compared with a net loss of $448 million in the first quarter of 2012. Excluding $92 million of special charges, the net loss was $325 million, or $0.98 per diluted share. Operating loss narrowed to $264 million from $271 million, while total operating revenue rose 1.4% to $8.72 billion. Passenger revenue increased 0.7% to $7.56 billion, helped by a 5.9% rise in passenger revenue per available seat mile on a 4.9% reduction in capacity. Aircraft fuel expense fell 5.5% to $3.05 billion, and salaries and related costs rose 12.1% to $2.13 billion, mainly due to higher pay rates from new joint collective bargaining agreements and higher pension costs. The company reported unrestricted cash, cash equivalents and short-term investments of $5.4 billion at March 31, 2013, down from $6.5 billion at December 31, 2012, and said total unrestricted liquidity was $6.4 billion including $1.0 billion of undrawn commitments. Operating cash flow was $393 million, compared with $124 million a year earlier. The company had approximately $12.1 billion of debt and capital lease obligations, including $1.2 billion due within the next 12 months. On March 27, 2013, it entered a new Credit and Guaranty Agreement with a $900 million term loan and a $1.0 billion revolver, and used it together with about $300 million of cash to retire a $1.2 billion term loan due 2014. Both UAL and United carry credit ratings below investment grade, and the company has firm aircraft commitments and $17.7 billion of total capital commitments. Management highlighted the FAA's capacity reduction plan, announced April 16, 2013 in response to sequestration furloughs of air traffic controllers, as a risk to operations, costs and revenue. The company's outlook calls for full-year 2013 consolidated capacity to decrease 0.75% to 1.75% year over year, with CASM excluding profit sharing, third-party business expense, fuel and special charges expected to rise 5.5% to 6.5%. Labor negotiations remain ongoing, with the IAM tentative agreements not ratified and the company negotiating other major work groups.

United Airlines Holdings Quarterly Report for Q3 Ended Sep 30, 2012

United Continental Holdings, Inc. (UAL) reported a third-quarter 2012 net income of $6 million, or $0.02 per diluted share, compared with net income of $653 million a year earlier. The result includes $514 million of special charges, net of tax, the largest of which is $454 million of labor agreement costs tied to the agreement in principle with the Air Line Pilots Association. Excluding special items, UAL's third-quarter net income was $520 million, or $1.35 per diluted share, versus $773 million in the third quarter of 2011. Operating income fell to $200 million from $935 million, as operating revenue declined 2.6% to $9.909 billion while operating expenses rose 5.1% to $9.709 billion. Passenger revenue decreased 2.6% on capacity reductions, and fuel expense rose 1.0% to $3.406 billion as fuel hedge losses offset lower prices. For the first nine months of 2012, UAL recorded a net loss of $103 million, or $(0.31) per diluted share, compared with net income of $978 million in the prior-year period. Operating income was $504 million versus $1.78 billion. Cash flow from operations was $845 million, down from $2.14 billion, and unrestricted cash, cash equivalents and short-term investments totaled $6.7 billion at September 30, 2012, compared with $7.8 billion at December 31, 2011. Total debt and capital lease obligations were approximately $12.2 billion, including $1.8 billion due within twelve months. UAL's corporate credit ratings from S&P, Moody's and Fitch are all below investment grade. The filing also describes ongoing integration of United and Continental, including a single passenger service system converted in March 2012, a pending joint pilot contract, and committed aircraft purchases totaling approximately $18.4 billion. The filing states that financing is not yet in place for firm narrowbody orders with Boeing, and that UAL does not have backstop financing for those aircraft.

United Airlines Holdings Quarterly Report for Q2 Ended Jun 30, 2012

United Continental Holdings, Inc. (UAL) reported a net loss for the six months ended June 30, 2012 of $109 million, compared with net income of $325 million in the first six months of 2011. For the second quarter, net income was $339 million, or $0.89 diluted earnings per share, versus $538 million in the second quarter of 2011. Operating income was $575 million for the quarter (versus $808 million a year earlier) and $304 million for the six months (versus $842 million). Management stated that excluding special charges of $206 million, net of tax, second-quarter net income would have been $545 million, or $1.41 per diluted share. Total operating revenue for the quarter was $9.94 billion, up from $9.81 billion, while operating expenses rose to $9.36 billion from $9.00 billion, led by aircraft fuel expense of $3.41 billion. The balance sheet remained liquid but highly leveraged. UAL held $7.7 billion of unrestricted cash, cash equivalents and short-term investments at June 30, 2012, and $12.4 billion of debt and capital lease obligations, including $1.5 billion due within 12 months. Stockholders' equity was $1.6 billion. The company's corporate credit ratings from S&P, Moody's and Fitch were all below investment grade. Management also noted that a substantial portion of its assets is pledged as collateral. The filing describes significant forward commitments: after a July 12, 2012 Boeing order for 100 737 MAX 9 and 50 737-900ER aircraft, total capital commitments were about $18.5 billion, and the company stated that financing for the firm narrowbody orders is not yet in place. The combined report covers UAL, United Air Lines, Inc. and Continental Airlines, Inc., and the filing states that a merger of United and Continental into one legal entity is planned.

  45. 2012-Q1

United Airlines Holdings Quarterly Report for Q1 Ended Mar 31, 2012

United Continental Holdings, Inc. reported a first quarter 2012 net loss of $448 million, or $1.36 per basic and diluted share, compared with a net loss of $213 million, or $0.65 per share, in the first quarter of 2011. Operating loss was $271 million versus operating income of $34 million a year earlier, on operating revenue of $8.60 billion (up 4.9%) and operating expenses of $8.87 billion (up 8.6%). The company attributes the revenue gain mainly to higher fares implemented in response to rising fuel prices. Aircraft fuel expense rose 20.8% to $3.23 billion, driven by a 20.1% increase in the average price per gallon. Excluding $162 million of special charges, net of tax, the net loss was $286 million, or $0.87 per diluted share. Liquidity was $7.3 billion of unrestricted cash, cash equivalents and short-term investments at March 31, 2012, down from $7.8 billion at December 31, 2011. Operating cash flow was $124 million, compared with $1.0 billion a year earlier. UAL had approximately $12.4 billion of debt and capital lease obligations, including $1.1 billion due within 12 months. The company's credit ratings (S&P B, Moody's B2, Fitch B) are below investment grade. The filing describes the first quarter as the period in which United and Continental converted to a single passenger service system, a single loyalty program (MileagePlus), and a single website. For 2012, the company plans to reduce consolidated capacity by reducing flight frequencies, postponing some market launches and exiting less profitable markets, with full-year consolidated capacity expected to be down 0.5% to 1.5% year over year. The filing also discloses ongoing labor negotiations covering about 87,000 active employees, a voluntary early-retirement program for United flight attendants, and pending compensation discussions with Boeing over 787 delivery delays.

  46. 2011-Q3

United Airlines Holdings Quarterly Report for Q3 Ended Sep 30, 2011

United Continental Holdings, Inc. reported net income of $653 million, or $1.69 diluted earnings per share, for the third quarter of 2011, compared with $387 million, or $1.75 diluted, in the third quarter of 2010. Excluding $120 million of net special items, third-quarter net income was $773 million, or $2.00 diluted earnings per share. Operating income was $935 million on operating revenue of $10.17 billion, compared with $541 million on $5.42 billion a year earlier. The results include the effect of the merger with Continental, which closed October 1, 2010, and the filing covers UAL, United Air Lines, Inc. and Continental Airlines, Inc. on a combined basis. The company's results were pressured by fuel costs. Third-quarter aircraft fuel expense was $3.37 billion, compared with $1.53 billion a year earlier, and the filing attributes the increase largely to a 31% rise in the average price per gallon. Management is reducing fourth-quarter 2011 consolidated capacity, with combined capacity now expected to be down 2.6% to 3.6% year-over-year. Liquidity remained substantial, with unrestricted cash, cash equivalents and short-term investments of $8.4 billion at September 30, 2011, against approximately $13.2 billion of debt and capital lease obligations, of which $1.3 billion is due within 12 months. The filing also highlights several risks and obligations. UAL is required to issue a $62.5 million tranche of 8% Contingent Senior Notes to the PBGC no later than February 14, 2012, and recorded a $49 million integration-related charge for it. Ratings from S&P, Moody's and Fitch are all below investment grade (B, B2, B). Labor negotiations with several unions, including pilots, remain ongoing, and the company faces significant September 11-related litigation that management says it expects to be covered by statutory limits on claimant recoveries.

  47. 2011-Q2

United Airlines Holdings Quarterly Report for Q2 Ended Jun 30, 2011

United Continental Holdings, Inc. (UAL), together with its subsidiaries United Air Lines, Inc. and Continental Airlines, Inc., reported second-quarter 2011 net income of $538 million, or $1.39 diluted earnings per share, on operating revenue of $9.81 billion and operating income of $808 million. Excluding special items, the company cited net income of $577 million, or $1.49 per diluted share. Operating revenue rose from $5.16 billion a year earlier, with the Continental merger (effective October 1, 2010) contributing $4.28 billion of the increase. Aircraft fuel expense rose to $3.23 billion from $1.49 billion, driven by a 24.2% increase in average fuel price per gallon, partly offset by fuel hedge gains. The company ended the quarter with $8.6 billion in unrestricted cash, cash equivalents and short-term investments and approximately $13.6 billion of debt and capital lease obligations, including $1.5 billion due within 12 months. In the quarter, UAL repurchased about $570 million of its 4.5% Senior Limited-Subordination Convertible Notes at par. A triggering event under the 8% Contingent Senior Notes indenture occurred, obligating UAL to issue a $62.5 million tranche to the PBGC by February 14, 2012, for which a $49 million liability was recorded as an integration cost. Management highlighted several risks: continued integration of United and Continental, potential credit card processing reserve requirements that could significantly reduce liquidity if unrestricted cash falls below $3.5 billion, pending labor negotiations with multiple unions, and credit ratings below investment grade (S&P B, Moody's B2, Fitch B-). Management also said it is reducing 2011 consolidated capacity from prior projections in response to higher fuel prices.

  48. 2011-Q1

United Airlines Holdings Quarterly Report for Q1 Ended Mar 31, 2011

United Continental Holdings, Inc. (UAL) reported a first-quarter 2011 net loss of $213 million, or $0.65 per diluted share, on operating revenue of $8.20 billion, versus a net loss of $82 million in the first quarter of 2010. Operating income fell to $34 million from $76 million, as aircraft fuel expense rose to $2.67 billion from $1.21 billion. Excluding special charges of $77 million, the company reported a net loss of $136 million, or $0.41 per share. The filing attributes the revenue growth to improving global economic conditions and fare increases, with passenger revenue up 10.2% excluding merger impact, while fuel prices drove cost increases. The filing notes that the Continental merger, completed October 1, 2010, is a principal driver of year-over-year comparisons. UAL ended the quarter with a record $8.9 billion of unrestricted cash, cash equivalents and short-term investments, compared with $8.7 billion at December 31, 2010. Total debt and capital lease obligations were approximately $14.6 billion, including $2.5 billion due within twelve months. The company's credit ratings (S&P B, Moody's B2, Fitch B- with positive outlook) remain below investment grade. Management also cut its full-year 2011 consolidated capacity plan to roughly flat year-over-year because of significant fuel price increases. The filing highlights ongoing merger-integration risks, including pending labor negotiations with several unions, a Pension Benefit Guaranty Corporation dispute over whether the merger was a 'fundamental change' under the indenture for $615 million of 6% Senior Notes, and contingent obligations to issue up to $500 million of 8% Contingent Senior Notes to the PBGC if EBITDAR thresholds are met. The company stated that it believes the PBGC position is without merit.

  49. 2010-Q3

United Airlines Holdings Quarterly Report for Q3 Ended Sep 30, 2010

United Continental Holdings, Inc. (UAL), formerly UAL Corporation, reported third-quarter 2010 net income of $387 million, or $2.30 basic and $1.75 diluted per share, compared with a net loss of $57 million in the year-ago period. Total operating revenues rose to $5.39 billion from $4.43 billion, and the filing attributes the improvement to higher yields and traffic from an improved economy and prior capacity reductions. Consolidated yield increased 18% and traffic increased 4% for the nine months ended September 30, 2010, despite flat capacity. Fuel expense rose sharply, with Mainline fuel purchase cost up 17.4% in the quarter, partly offset by a $30 million net hedge gain in the nine-month period. The quarter reflects the company's pre-merger results. The merger with Continental Airlines closed on October 1, 2010, after the period end, so this report does not include Continental's results. The filing states that UAL and United expect $1.0 billion to $1.2 billion in net annual synergies by 2013 and estimates merger-related costs of at least $380 million at UAL and $240 million at United in the fourth quarter of 2010. Liquidity improved, with total cash of $5.16 billion at September 30, 2010, up from $3.38 billion at December 31, 2009, but the company reports a stockholders' deficit of $2.21 billion and credit ratings below investment grade. Key risks include integration of the workforces (with ALPA pilot negotiations ongoing), covenant compliance under the Amended Credit Facility, possible issuance of up to $500 million of 8% Contingent Senior Notes to the PBGC, and a PBGC dispute over whether the merger was a "Fundamental Change" under the indenture for $597 million of 6% Senior Notes. The filing says the PBGC has agreed to a standstill through January 31, 2011.

  50. 2010-Q2

United Airlines Holdings Quarterly Report for Q2 Ended Jun 30, 2010

UAL Corporation and its principal subsidiary United Air Lines, Inc. filed a combined Form 10-Q for the quarter ended June 30, 2010. UAL reported net income of $273 million for the three months ended June 30, 2010, compared with $28 million a year earlier, and net income of $191 million for the six months, compared with a net loss of $354 million in the prior-year period. Consolidated operating revenues rose to $5.16 billion in the quarter from $4.02 billion, driven by higher passenger yields and traffic. Management attributed the improvement to a strengthening economy, business and premium travel demand, and capacity discipline, partly offset by higher fuel costs of $1.20 billion in Mainline aircraft fuel expense for the quarter. The balance sheet remained highly leveraged. At June 30, 2010, UAL had cash and cash equivalents of $4.91 billion and total stockholders' deficit of $2.76 billion, with current long-term debt maturing within one year of $1.42 billion. Management stated the company believes it has sufficient liquidity for the near term, but the filing lists several risks, including fuel price volatility, collateral requirements under fuel hedges, potential covenant non-compliance under the Amended Credit Facility, and credit ratings below investment grade (B-, Caa1 and CCC). Pending the merger with Continental Airlines, UAL disclosed a $175 million termination fee provision and merger-related costs of $28 million in the quarter, and noted pending shareholder and antitrust lawsuits. The filing also discloses a $106 million quarterly charge for impairments, merger-related costs and special items, including $73 million tied to nonoperating aircraft. Mileage Plus accounting changes raised passenger revenue by approximately $75 million in the quarter. Future obligations include $7.8 billion of capital purchase commitments, mostly for new aircraft deliveries between 2016 and 2019.
