United Airlines Holdings, Inc. (UAL) reported third-quarter 2026 operating revenue of $17.88 billion, up from $15.23 billion, and net income of $1,029 million, up from $949 million in the year-ago quarter. Passenger revenue rose $2.4 billion, or 17.6%, driven by a 16.8% increase in yield and a 2.4% increase in passengers flown. Nine-month net income was $2,533 million, compared with $2,309 million a year earlier, and diluted EPS was $7.74 versus $7.02. Operating special credits of $215 million in the quarter reflected gains on aircraft sale-leasebacks, and the nine-month period included a $740 million one-time flight attendant ratification payment made on September 15, 2026. Liquidity and the balance sheet strengthened. Unrestricted cash, cash equivalents and short-term investments reached $14.7 billion at September 30, 2026, compared with $12.2 billion at December 31, 2025. Total debt, finance lease, operating lease and other financial liabilities were $34.3 billion, and the company issued $2.0 billion of senior notes and $4.6 billion of aircraft-secured loans during the nine months while redeeming $2.0 billion of 4.375% Senior Secured Notes. Stockholders' equity increased to $17.75 billion from $15.28 billion. Cash from operations was $6.87 billion for the nine months, down from $7.15 billion, primarily reflecting the flight attendant ratification payment and working capital changes, partly offset by higher advance ticket sales. Capital expenditures were $5.15 billion, up from $3.98 billion. The company made no share repurchases in the third quarter, and $755 million remained available under its repurchase program as of October 15, 2026. Corporate credit ratings were BB+ at S&P and Fitch and Ba1 at Moody's.

United Airlines Holdings 8-K Report, Regulation FD Disclosure (Apr 27, 2026)

United Airlines Holdings, Inc. (UAL) furnished a press release under Item 7.01 (Regulation FD Disclosure) in which CEO Scott Kirby publicly addressed reports of a potential merger with American Airlines. Kirby states that he approached American about exploring a combination, that American declined to engage and publicly closed the door, and that without a willing partner the deal cannot proceed. He says American's public comments make a merger off the table for the foreseeable future. The statement lays out the rationale Kirby said the combination would have pursued: growth in international and smaller-community service through a larger network, expanded loyalty benefits, greater economy seat capacity, and a more globally competitive U.S.-based carrier. He also says regulators would likely have approved the deal with divestitures in certain domestic markets, and that United's own strategy of building a brand-loyal airline remains the company's focus. For investors, the filing is primarily a disclosure of a proposed-but-abandoned strategic initiative rather than a financial report. The filing contains no financial results, guidance, or transaction terms, and the statement is accompanied by standard forward-looking statement cautions referencing UAL's 2025 Form 10-K and Q1 2026 Form 10-Q.

Total operating expense rose 8.0% to $13.61 billion, with aircraft fuel up 12.6% to $3.04 billion on a higher average price per gallon, which the filing says rose to $2.78 from $2.53. United Airlines Holdings, Inc. (UAL) reported second-quarter 2025 results on July 16, 2025, showing a profit that the company described as ahead of Wall Street expectations. Q2 diluted earnings per share were $2.97 (adjusted $3.87, versus guidance of $3.25 to $4.25), on total operating revenue of $15.2 billion, up 1.7% year over year. Pre-tax earnings were $1.2 billion with an 8.2% pre-tax margin, and adjusted pre-tax earnings were $1.7 billion with an 11.0% adjusted pre-tax margin. Net income was $973 million for the quarter, down 26.4% from $1,323 million a year earlier, and operating income fell to $1,325 million from $1,929 million. Results include a $561 million special charge tied to the tentative agreement with flight attendants represented by the Association of Flight Attendants. Management updated full-year 2025 adjusted diluted EPS guidance to $9.00 to $11.00 and estimated third-quarter adjusted diluted EPS at $2.25 to $2.75 in the accompanying Investor Update. The company said demand accelerated six points sequentially beginning in early July and that published industry schedules show a supply inflection beginning in mid-August. The filing also notes a May 2025 event at Newark Airport that drove negative news coverage and customer booking declines, with an estimated impact of about 1.2 points on Q2 adjusted pre-tax margin and about 0.9 points in Q3. Liquidity ended the quarter at $18.6 billion, total debt and finance lease obligations were $27.1 billion, and trailing twelve-month net leverage was 2.0x. In July, United repaid the remaining debt tied to its 2020 MileagePlus financing using cash on hand. For investors, the key takeaways are the strong first-half earnings growth on an adjusted basis, a narrowing of the company's leverage, and management's expectation that the second half will benefit from improving demand and supply conditions. Revenue per available seat mile declined 4.0% in the quarter as capacity grew 5.9%, which is a notable offset to the top-line growth.

Management also flagged that booking trends have been stable and that the guidance is scenario-based because of an uncertain macroeconomic outlook. The disclosure is a reaffirmation of existing guidance rather than a change, so the key information for investors is that the adjusted EPS range is unchanged. The filing is furnished rather than filed, meaning it is not subject to Section 18 liabilities and is not incorporated by reference into other Exchange Act or Securities Act filings unless specifically stated. The filing also includes extensive forward-looking statement cautions and non-GAAP disclosure language. It cites risks including fleet and aircraft delivery execution, fuel price volatility, labor disruptions, leverage from fixed obligations, covenant compliance (including MileagePlus financing agreements), and the continued suspension of overflying in Russian airspace and flights to Tel Aviv. Investors are directed to the company's 2023 Form 10-K and Q1 2024 Form 10-Q for full risk factor discussion.

United Airlines Holdings 8-K Report, Material Agreement (Apr 23, 2024)

On April 22, 2024, United Airlines Holdings, Inc. entered into Amendment No. 3 to its Tax Benefits Preservation Plan with Computershare Trust Company, N.A., as rights agent, after the board unanimously approved it on April 20, 2024. The Plan is designed to help protect the Company's ability to recognize certain tax benefits in future periods from net operating losses and other tax attributes. Amendment No. 3 revises the definitions of "Beneficial Owner," "Beneficially Own" and "Beneficial Ownership" under the Plan, along with making other conforming changes. The filing reports this under Item 1.01 (Entry into a Material Definitive Agreement) and Item 3.03 (Material Modification to Rights of Security Holders). The amendment builds on prior changes. The Plan was originally entered into on December 4, 2020 and was scheduled to expire on December 4, 2023. Amendment No. 1 (January 21, 2021) added the January 15, 2021 Warrant Agreement with the U.S. Department of the Treasury to the definition of "Warrant Agreements." Amendment No. 2 (December 4, 2023) added the April 29, 2021 Treasury Warrant Agreement, extended the expiration to the Close of Business on December 4, 2026 (subject to earlier termination events, including if stockholder approval of the Plan, as amended, is not obtained at the Company's 2024 annual meeting), and reduced the exercise price for each one one-thousandth of a share of Series A Junior Participating Serial Preferred Stock from $250.00 to $200.00. For investors, the filing is a governance and legal update to a shareholder rights-style plan rather than a financial results disclosure; it contains no financial statements or operating figures. The filing references the full Plan and amendments, which are incorporated by reference as exhibits to prior registration statements and the 2021 annual report on Form 10-K, and lists Amendment No. 3 as Exhibit 4.1 with the Cover Page Interactive Data File as Exhibit 104.

United Airlines Holdings Quarterly Report for Q1 Ended Mar 31, 2024

United Airlines Holdings, Inc. (UAL) and its wholly-owned subsidiary United Airlines, Inc. filed a combined Form 10-Q for the quarter ended March 31, 2024. UAL reported operating revenue of $12.54 billion, up from $11.43 billion a year earlier, and swung to operating income of $99 million from an operating loss of $43 million. The company still posted a net loss of $124 million, or $(0.38) per share, compared with a net loss of $194 million, or $(0.59) per share, in the first quarter of 2023. Results were weighed down by nonoperating expense of $263 million, including $37 million of unrealized investment losses and $35 million of debt extinguishment and modification fees tied to refinancing the 2021 term loans. Liquidity was $14.0 billion in unrestricted cash, cash equivalents and short-term investments at March 31, 2024, versus $14.4 billion at December 31, 2023. Total debt was reduced in the quarter: the company made $5.0 billion in debt and financing payments, including a $3.9 billion prepayment of its 2021 term loan, and borrowed $2.5 billion under a new term loan facility. Long-term debt fell to $23.06 billion from $25.06 billion. The company stated it had $2.87 billion undrawn under its revolving credit facility, and that its credit ratings remain below investment grade (BB-/Ba2/BB-). The filing also discloses firm aircraft commitments totaling $57.8 billion, and an April 14, 2024 arrangement with Boeing providing credit memos for use on future purchases, tied to the FAA grounding of the 737 MAX 9 and certification delays for the 737 MAX 10. The company expects to account for these as reductions to the cost basis of certain aircraft, which is expected to reduce future depreciation expense. Passenger revenue rose 10.1% on a 9.1% increase in capacity, and the company had approximately 104,500 employees at quarter end.

United Airlines Holdings 8-K Report, Financial Results (Apr 16, 2024)

United Airlines Holdings, Inc. (UAL) reported first-quarter 2024 results in a press release furnished as Exhibit 99.1, showing a pre-tax loss of $164 million, an improvement of $92 million over the same quarter last year, and an adjusted pre-tax loss of $79 million, an improvement of $187 million on an adjusted basis. The company stated that these results include an approximately $200 million impact from the Boeing 737 MAX 9 grounding, without which it would have reported a quarterly profit. First-quarter diluted loss per share was $0.38, and adjusted diluted loss per share was $0.15. Total operating revenue was $12.54 billion, up 9.7% from the prior year, and operating cash flow was $2.8 billion, with free cash flow of $1.5 billion. The company continues to expect full-year 2024 adjusted diluted earnings per share of $9 to $11. The company also updated its fleet plan in an Investor Update (Exhibit 99.2). Due to aircraft delivery delays, it now expects 61 narrowbody and 5 widebody aircraft deliveries in 2024, and approximately 100 narrowbody deliveries per year on average from 2025 through 2027. The Investor Update provides second-quarter 2024 adjusted diluted EPS guidance of $3.75 to $4.25 and estimated adjusted total capital expenditures of approximately $6.5 billion for second-quarter 2024 and $7 billion to $9 billion per year for 2025 through 2027. Management indicated that a small number of aircraft scheduled to enter service in the second quarter may slip into the third quarter, which is expected to have minimal impact on capacity. Balance sheet metrics at March 31, 2024 included total debt and finance lease obligations of $27.2 billion, ending available liquidity of $16.9 billion, and a trailing twelve-month adjusted net debt to adjusted EBITDAR ratio of 2.7x. United Airlines Holdings 8-K Report, Material Agreement (Dec 4, 2023)

On December 4, 2023, United Airlines Holdings, Inc. entered into Amendment No. 2 to its Tax Benefits Preservation Plan with Computershare Trust Company, N.A., as rights agent. The board unanimously approved the amendment on December 1, 2023. The original plan, dated December 4, 2020 and amended January 21, 2021, was scheduled to expire at the close of business on December 4, 2023. Amendment No. 1 had added a Treasury warrant agreement and extended the expiration; this amendment adds a second Treasury warrant agreement dated April 29, 2021 to the plan's definition of Warrant Agreements, extends the expiration to the close of business on December 4, 2026 (subject to earlier termination, including if stockholder approval of the amendment has not been obtained at the Company's 2024 annual meeting), and reduces the exercise price for each one one-thousandth of a share of Series A Junior Participating Serial Preferred Stock from $250.00 to $200.00. The filing is a material modification to the rights of security holders, disclosed under Item 3.03. The plan is designed to protect the Company's tax benefits, such as net operating loss carryforwards, by discouraging acquisitions of large ownership stakes that could limit their use. The filing does not state the plan's specific trigger thresholds beyond what is described above. The full text of the plan and amendment is incorporated by reference to exhibits filed with the SEC. For investors, the key takeaways are the three-year extension of the rights plan and the lower exercise price, both of which affect the potential dilution mechanics for shareholders if the plan is triggered. The provision requiring stockholder approval at the 2024 annual meeting means the extension could end early if shareholders do not approve it.

United Airlines Holdings 8-K Report, Corporate Update (Nov 20, 2023)

On November 20, 2023, United Airlines Holdings, Inc. (UAL) and United Airlines, Inc. (together, the Company) filed an Item 8.01 Other Events report describing four warrant agreements issued to the U.S. Department of the Treasury under pandemic-era federal support programs. The warrants were issued under the Payroll Support Program (April 20, 2020), the Loan Program under Section 4003(b) of the CARES Act (September 28, 2020), the PSP2 program (January 15, 2021), and the PSP3 program under Section 7301 of the American Rescue Plan Act of 2021 (April 29, 2021). Warrants to purchase 4,763,841, 1,650,794, 2,011,924 and 1,501,790 shares of common stock were respectively issued under these agreements, for a total of up to 9,928,349 shares underlying the Warrants. To facilitate resale, UAL filed a shelf registration statement on Form S-3 (File No. 333-275664) on the filing date, which covers sales of UAL common stock and warrants by the Company and by selling security holders. Concurrently, UAL filed a prospectus supplement registering the resale of the Warrants by one or more selling security holders, along with the resale of up to 9,928,349 shares of common stock issuable upon exercise of those Warrants. The filing states this was done to satisfy registration rights granted to Treasury under the Warrant Agreements, and Sidley Austin LLP, counsel to UAL, issued a legal opinion (Exhibit 5.1) on the registered securities. The filing is largely administrative and does not report new financial results, revenue, earnings, or changes to the Company's operations. For investors, the principal significance is the potential future issuance of up to 9,928,349 common shares upon warrant exercise, and the increased possibility of resale of these securities in the market, which could affect the share supply. The filing does not state the exercise price or the current status of exercise.

United Airlines Holdings Quarterly Report for Q3 Ended Sep 30, 2023

United Airlines Holdings, Inc. (UAL) and its wholly-owned subsidiary United Airlines, Inc. filed a combined Form 10-Q for the quarter ended September 30, 2023. For the third quarter, total operating revenue was $14.48 billion, up from $12.88 billion, and net income was $1.14 billion, versus $942 million a year earlier. Operating income was $1.74 billion compared with $1.46 billion. Growth was driven mainly by higher passenger revenue of $13.35 billion, with capacity (ASMs) up 15.7%, and by lower fuel costs, with the average price per gallon falling 22.6% to $2.95. Partially offsetting these gains were higher salaries and related costs of $3.91 billion, up 37.7%, reflecting headcount growth and new pilot contract pay rates. For the first nine months of 2023, net income was $2.02 billion versus a net loss of $106 million in the prior-year period, and operating income was $3.21 billion. The results include $902 million of special charges, including $814 million of labor contract ratification bonuses tied to agreements with ALPA, IAM and other work groups. Firm aircraft commitments total $62.1 billion, and the company had $1.75 billion undrawn on its revolving credit facility.
