Ubiquiti Financial Overview 2022–2026

Updated Nov 4, 2026

Ubiquiti's net income reached $960.3 milliona in FY2026, roughly 2.5 times the $378.7 million it earned in FY2022. The central claim is simple: a richer Enterprise mix lifted margins, and that cash flow wiped out the debt that once defined the story.

Revenue grew from $1.69 billion in FY2022 to $3.27 billionb in FY2026. Gross margin moved from 39.6% to 46% over the same span. Enterprise Technology now makes up 91% of sales at $2.97 billion, while Service Provider Technology slipped to $301.9 million. The balance sheet flipped as well. Total debt peaked near $1.08 billion in FY2023, when inventory ballooned by $487.9 million and operating cash flow turned negative at $145.4 million. By FY2026, operating cash flow hit $928.7 million, the $250.0 million term loan was repaid, and cash and short-term investments stood at $611.2 million. Dividends rose from $0.60 to $0.80 per quarter, and a $1.00 quarterly payout was declared for FY2027.

The market paid up for this. At the close of FY2025, shares traded at $411.65c, or 35.0x earnings, for a $24.9 billion market cap. At the close of FY2026, the price was $534.03, or 33.7x, for $32.3 billion. Earnings growth, not multiple expansion, drove that gain. The risk is an ITC case from AX Wireless that could bar certain products from the U.S. market, and management has not estimated a loss.

Recent Developments (Q3 and Q4 2026)

Revenue accelerated into year-end. Q4 2026 revenue hit $937.3 milliond, up 18.9% from Q3 2026 and 23.5% from the prior-year quarter. Q3 2026 revenue was $788.2 million, up 18.7% year over year. Gross margin peaked at 47.0% in Q3 2026, then slipped to 45.8% in Q4 2026 on higher component and shipping costs. Q4 2026 diluted EPS was $4.70, versus $4.41 a year earlier. Service Provider Technology fell to $69.0 million in Q4 2026 from $79.0 million. The Board also extended the $500 million buyback to September 30, 2027, though no shares were repurchased in fiscal 2026.

Bull case: Enterprise Technology reached $868.3 millione in Q4 2026, and the company holds no drawn debt. Bear case: margins fell 1.2 points quarter over quarter, and a new Velocity Communication patent suit adds legal exposure. At 35.3x earnings as of August 20, 2026, the stock is priced for continued growth. That multiple reflects the report date, not today.

What to watch: gross margin recovery toward 47%; the Velocity Communication suit and any AX Wireless ruling

(NYSE: UI) reported fourth-quarter fiscal 2026 results for the quarter ended June 30, 2026, with revenues of $937.3 million, a record according to the press release headline. Revenues rose 18.9% from the prior quarter and 23.5% from the comparable prior-year quarter, driven by Enterprise Technology ($868.3 million, versus $680.1 million a year earlier). Capital return items were also disclosed. The Board declared a $1.00 per share cash dividend payable September 8, 2026, to holders of record on August 31, 2026, and the company intends to pay quarterly dividends of at least $1.00 per share in each quarter of fiscal 2027, subject to Board determination. GAAP gross margin was 47.0%, compared with 45.9% in the prior quarter and 44.5% in the year-earlier quarter, and the filing attributes the year-over-year gain mainly to favorable product mix, lower excess and obsolete inventory charges, and lower shipping and other indirect costs, partly offset by higher tariff costs. Income from operations was $290.8 million. GAAP net income was $233.9 million and GAAP diluted EPS was $3.86, up 29.6% and 29.5% respectively from the prior year. Non-GAAP diluted EPS was $3.88. 4. 8-KUbiquiti 8-K Report, Listing Notice (Dec 5, 2025)Ubiquiti Inc. reported in this Form 8-K, filed December 5, 2025, that director Ronald A. Sege passed away on November 30, 2025. Mr. Sege joined the Board in 2012 and at the time of his passing served on the audit and compensation committees and as chair of the nominating and corporate governance committee. The filing states that the Company is no longer compliant with NYSE Listed Company Manual Section 303A.07(a), which requires an audit committee of at least three independent members, because the committees were reduced to two members. The Company received official notice of non-compliance from the NYSE on December 4, 2025, and expects to appoint an additional independent director to the Board and audit committee as soon as practicable, which would restore compliance. The filing also reports results of the Annual Meeting of Stockholders held on December 4, 2025. Mr. Sege had been a director nominee for re-election and received 57,469,544 votes for and 579,731 withheld, with 1,408,040 broker non-votes. Because he died before the meeting, the Board did not designate a substitute nominee, and the Class II director seat will remain vacant until the Board appoints a replacement. Stockholders also approved the ratification of KPMG LLP as the independent registered public accounting firm for the fiscal year ending June 30, 2026, with 59,437,036 votes for, 12,784 against, and 7,495 abstaining. For investors, the key takeaways are the governance gap on the audit committee, the expected remediation through a new independent appointment, and the continued vacancy in the Class II board seat. The filing does not discuss any financial results or operational impacts.

The year-over-year growth was driven by Enterprise Technology, partly offset by lower Service Provider Technology revenue. Profitability improved over the prior year. GAAP gross margin was 46.0%, compared with 45.1% in the prior quarter and 42.1% in the year-ago quarter, which the company attributed mainly to favorable product mix, lower shipping costs and indirect operating expenses, partly offset by higher tariff costs.
