PTC Financial Overview 2021–2025

Updated Nov 4, 2026

PTC's revenue jumped 19% in FY2025, yet ARR rose only 10%. That gap matters. On-premises subscription licenses are recognized up front, so reported revenue can run ahead of the underlying business in any single year. The core thesis: cash flow, not the income statement, is the cleaner read, and cash flow is compounding. FY2025 free cash flow reached $856.7 milliona, up 16%, with 95% of revenue recurring.

The long arc is steep. Revenue grew from $1.81 billion in FY2021 to $2.74 billionb in FY2025. Free cash flow climbed from $344.1 million to $856.7 million over the same stretch, nearly 2.5x. Profitability followed: operating income hit $982.4 million in FY2025 versus $588.1 million in FY2024, lifting operating margin to 36% from 26%. Diluted EPS rose 95% to $6.08.

Management also cleaned up the balance sheet. Total debt fell to $1.20 billionc from $1.75 billion after the $500 million 2025 senior notes were redeemed. PTC still repurchased $300 million of stock during the year.

The market priced that momentum richly. At the close of FY2025 (September 29, 2025), shares closed at $203.02d, or 33.4x earnings, for a market cap of $24.3 billion.

Recent Developments (Q2 and Q3 2026)

PTC's biggest event was the March 2026 sale of Kepware and ThingWorx for $530.8 million, which lifted Q2 2026 GAAP EPS to $4.98e from $1.35. The sale cut Q3 2026 revenue to $600.0 million from $643.9 million. Excluding divested units, ARR grew 9.1% in constant currency, above guidance. Buybacks hit $1,326.2 million over nine months, and debt rose to $1.43 billion. On October 4, 2026, Schneider Electric agreed to acquire PTC for $205 per share in cash, a 42.3% premium, valuing equity at about $22.6 billion. Closing is expected by Q3 2027, and a $700 million termination fee applies.

Bull case: the deal pays a clear premium to the $122.97 close, and underlying ARR and cash flow beat guidance. Bear case: at 20.2x earnings as of the July 30, 2026 report date, the stock was not richly valued, and the deal requires shareholder, HSR and CFIUS approvals, so closing is not assured.

What to watch: shareholder vote and HSR/CFIUS clearance timing; Q4 2026 revenue against the $630 million to $690 million guidance

Recent SEC Filings

  1. 8-KPTC 8-K Report, Material Agreement (Oct 5, 2026)PTC Inc. (PTC) entered into an Agreement and Plan of Merger on October 4, 2026, with Schneider Electric SE and Grand Slam Merger Sub, Inc., a wholly owned Schneider Electric subsidiary. Under the agreement, Merger Sub will merge into PTC, and PTC will survive as a wholly owned subsidiary of Schneider Electric. At the effective time, each share of PTC common stock will be converted into the right to receive $205 in cash, without interest, subject to applicable withholding taxes. Upon closing, the stock will be delisted from the Nasdaq Global Market and deregistered under the Exchange Act. The merger is subject to approval by holders of a majority of outstanding PTC shares, antitrust and foreign investment clearances (including HSR and CFIUS), and other customary conditions. The merger is not conditioned on financing. Schneider Electric has obtained a $25 billion bridge term loan commitment from Morgan Stanley Europe SE and Société Générale. PTC has agreed to pay Schneider Electric a $700 million termination fee in specified circumstances, including if PTC accepts a Superior Offer or the Board changes its recommendation. The agreement also restricts PTC's ability to solicit competing proposals. The joint press release states that the $205 per share price represents a 42.3% premium to PTC's last closing price and a 46.1% premium to the 30-trading-day VWAP prior to announcement, valuing PTC's equity at approximately $22.6 billion and implying an enterprise value of $23.7 billion. Closing is anticipated by Q3 2027.

The quarter's revenue and margin declines reflect the divestitures and ASC 606 revenue timing, with GAAP operating margin of 28% versus 33% a year earlier.
