SS&C Technologies Holdings 8-K Report, Material Agreement (May 9, 2024)

On May 9, 2024, SS&C Technologies, Inc., a direct wholly-owned subsidiary of SS&C Technologies Holdings, Inc. (the Parent), issued $750 million of 6.500% Senior Notes due June 1, 2032, at 100% of face value in a private placement under Rule 144A and Regulation S. The Notes are senior unsecured obligations, fully and unconditionally guaranteed by the Parent and certain domestic restricted subsidiaries, and are effectively subordinated to secured indebtedness, including the senior secured credit facilities, and to liabilities of non-guarantor subsidiaries. Interest is payable semi-annually beginning December 1, 2024. The Issuer may redeem the Notes at a make-whole premium before June 1, 2027, and at stated redemption prices thereafter (103.250% in 2027, 101.625% in 2028, and 100.000% in 2029 and thereafter). Upon a change of control triggering event, the Issuer must offer to repurchase the Notes at 101% of principal plus accrued interest. On the same date, SS&C Technologies, Inc. entered into an Incremental Joinder & First Amendment to its Credit Agreement, under which it borrowed $3,935 million of incremental Term B-8 Loans maturing May 9, 2031. The Term B-8 Loans bear interest at either the Base Rate plus 1.00% or Term SOFR plus 2.00%, and carry a 1.00% repricing premium on certain repricing transactions completed within six months. The filing states that the net proceeds from the Term B-8 Loans and the Notes were used to repay the term B-3 through B-7 loans under the Credit Agreement, along with related fees and expenses. The Notes' covenants restrict incurrence of debt, certain investments, asset sales, dividends and distributions, affiliate transactions, and liens, and certain covenants are suspended while the Notes hold investment grade ratings from two of S&P Global Ratings, Moody's Investors Service, or Fitch Ratings. The refinancing replaces the term B-3 through B-7 loans with new term loans and fixed-rate senior notes, and the filing describes these as the key debt-related actions.

SS&C Technologies Holdings, Inc. announced on May 3, 2024 the pricing of a private placement of $750 million of 6.500% Senior Notes due 2032. The notes are being issued by its wholly-owned subsidiary, SS&C Technologies, Inc., at 100% of face value, and are guaranteed by the parent and its existing domestic restricted subsidiaries that guarantee its senior secured credit facilities. The offering is expected to close on May 9, 2024, subject to customary closing conditions, and the company estimates net proceeds of approximately $744 million after initial purchasers' discounts and estimated offering expenses. The company expects to use the note proceeds, together with the net proceeds of a term B-8 loan and cash on hand, to repay all amounts owed under the term B-3, B-4, B-5, B-6 and B-7 loans under its existing senior secured credit facilities, along with related fees and expenses. Substantially concurrently with the notes closing, the term B-8 loan is expected to be entered into with its principal amount increased from $2,775.0 million to $3,935.0 million. The transaction is a refinancing of existing term loans that reshapes the company's debt structure through a combination of fixed-rate unsecured-style notes and a larger senior secured term loan. The notes are being sold under Rule 144A and Regulation S, so they are not registered under the Securities Act. The filing's forward-looking statements caution that closing and use of proceeds are subject to risks described in the company's most recent Form 10-K.

The awards are split into three components: 50% performance stock units (PSUs), 25% time-based restricted stock units (RSUs), and 25% time-based stock options. The PSUs can pay out between 0% and 200% of target based on three-year adjusted diluted earnings per share growth, with a relative total shareholder return modifier that adjusts payout upward or downward by 20%, subject to a 200% maximum. No upward modifier applies if absolute TSR is negative over the performance period. The RSUs vest in equal annual installments over three years, and the options vest 25% at the first anniversary with the remainder vesting monthly through the fourth anniversary, in each case subject to continued employment. For investors, the filing shows that a larger share of executive pay is tied to multi-year performance and shareholder returns. Double-trigger change-in-control provisions apply, under which unvested awards vest in full if an executive is terminated without cause or resigns for good reason within 24 months after a change in control. The full award agreement forms will be filed as exhibits to the Company's Form 10-Q for the quarter ending March 31, 2023.

SS&C Technologies Holdings 8-K Report, Material Agreement (Jan 4, 2023)

SS&C Technologies Holdings, Inc. (Nasdaq: SSNC) disclosed in this Current Report that on December 28, 2022 it entered into an amendment (the "Revolving Facility Amendment") to its amended and restated credit agreement dated April 16, 2018. The amendment restructures the company's revolving credit facility, extending its maturity to December 28, 2027 and increasing aggregate commitments from $250 million to $600 million. Morgan Stanley Senior Funding, Inc. was appointed as Revolving Facility Administrative Agent, and the filing states that the company's subsidiaries, as borrowers, are party to the agreement alongside the company as guarantor. The amendment also changes the interest rate benchmark from LIBOR to Term SOFR. Under the amended terms, Term SOFR loans bear interest at Term SOFR plus 1.25% to 1.50%, and base rate loans bear interest at the base rate plus 0.25% to 0.50%, with the spread in each case depending on the company's consolidated secured net leverage ratio. The filing also states that other revisions are set out in the amendment itself, which is filed as Exhibit 10.1. For investors, the filing is a financing-facility update rather than a change in operations or results. It shows a larger, longer-dated revolving credit line with a benchmark transition away from LIBOR. The filing does not state the amount drawn under the facility, and the full terms are in Exhibit 10.1.

SS&C Technologies Holdings 8-K Report, Bylaw Amendment (Nov 22, 2022)

SS&C Technologies Holdings, Inc. (Nasdaq: SSNC) filed this Current Report on Form 8-K on November 22, 2022 to disclose two governance changes adopted by its Board of Directors on November 16, 2022. First, the Board adopted second amended and restated bylaws, effective the same day, which implement a majority voting standard for uncontested director elections (contested elections remain plurality-based), update advance notice procedures including under Rule 14a-19, and add a proxy access provision. Under the new proxy access provision, a stockholder or group of up to 20 stockholders owning at least 3% of common stock continuously for at least three years may nominate and include in the company's proxy materials directors constituting up to two individuals or 20% of the Board, whichever is greater, subject to a limit of one-half of the directors being elected at an annual meeting while the board remains classified. Second, the Board amended the Code of Business Conduct and Ethics, effective November 16, 2022. The revised code adds standards of conduct on data security and privacy, protection and proper use of corporate assets, diversity, equity and inclusion, and workplace health and safety, along with certain non-substantive changes. The filing states that the amendment did not involve any waiver of the prior code's provisions. The revised code applies to all employees, officers and directors and is available on the company's investor relations website. The filing contains no financial results or financial figures. For investors, the primary significance lies in shareholder governance: the move to majority voting and the introduction of proxy access expand shareholder influence over board composition, while the code of conduct update reflects emphasis on data security, privacy and workplace matters.

Leadership Changes

SS&C Technologies Holdings 8-K Report, Executive Changes (Oct 18, 2022)

On October 12, 2022, the Compensation Committee of the Board of Directors of SS&C Technologies Holdings, Inc. approved a significant redesign of the company's executive compensation program, which the Committee says strengthens its pay-for-performance philosophy and aligns key components more closely with prevailing market practice among its compensation peer group. The changes followed a holistic review conducted in 2022 with the independent compensation consultant Frederic W. Cook & Co., and reflect shareholder feedback and the results of the advisory say-on-pay vote at the 2022 annual meeting. The annual cash bonus program becomes formulaic and is payable 100% in cash starting with 2022 bonuses. Payouts are based on four equally weighted company financial measures: total revenue, organic revenue growth, operating cash flow and adjusted EBITDA. Payouts range from 50% to 250% of target and are subject to a 25% upward or downward strategic modifier tied to strategic initiatives, human capital management and individual leadership goals. No payout occurs if performance on all financial goals falls below threshold. The long-term incentive program replaces performance-based stock options with performance stock units (PSUs) and adds time-based restricted stock units. NEO equity awards will be 50% PSUs, 25% time-based stock options and 25% RSUs vesting over three years. PSUs can pay out between 0% and 200% based on three-year average annual EPS growth, adjusted by a relative TSR modifier of up to plus or minus 20%. The filing also sets new target total cash compensation for the named executive officers: William C. Stone (CEO) $1,000,000 base salary and $5,000,000 target bonus; Rahul Kanwar (COO) $800,000 base and $4,000,000 target bonus; Patrick J. Pedonti (CFO) $500,000 base and $1,500,000 target bonus; and Jason White (Chief Legal Officer) $500,000 base and $1,000,000 target bonus. Base salaries take effect January 1, 2023, and bonus targets apply from the 2022 performance year.

This includes $138,300,000 in initial cash contributions, a non-exclusive license of SS&C's RxNova claims processing platform, assignment of an existing SS&C services agreement with Humana upon receipt of all approvals, and up to approximately $400,000,000 in additional cash, property interests and/or services under certain circumstances. SS&C and its affiliates will initially perform development, day-to-day management and shared services under subcontract for market-based fees. The arrangement also gives SS&C the right, under certain circumstances, to a license back of RxNova improvements for market-based fees. Anthem and Humana may exit the joint venture and receive a license to the PBM Platform in certain circumstances, including failure to implement the platform on the agreed timeline. Humana is expected to be the joint venture's first customer.
