Roper Technologies Financial Overview 2021–2025

Updated Nov 4, 2026

Roper's FY2025 revenue jumped 12.3% to $7,902.5 million, yet diluted EPS slipped to $14.20a from $14.35. That gap is the story. The company is buying growth, and the debt it takes on to do so is starting to absorb the profit it adds.

The core thesis: Roper's operations are compounding steadily, but acquisition-funded expansion is capping per-share earnings for now. Organic growth was only 5.4% in FY2025, and acquisitions supplied 6.7 points of the rest. Income from operations still rose to $2,235.4 millionb from $1,996.8 million. But net interest expense climbed to $325.0 million from $259.2 million, and net earnings from continuing operations eased to $1,536.3 million from $1,549.3 million. Operating cash flow hit $2,540.3 million, so the cash engine is intact.

The long-term arc is clear. On a continuing-operations basis, revenue grew from $4,833.8 million in FY2021 to $7,902.5 millionc in FY2025. Total debt rose from $7,970.3 million to $9,355.9 million over the same stretch. Goodwill now equals roughly 62% of $34,577.0 million in total assets. Backlog rose 10.3% to $3,424.6 million, which supports the revenue base.

The market priced this at 31.3x earnings, with a $445.13d close and a $47.5 billion market cap at the end of FY2025. Shareholder returns are accelerating: $500.0 million of buybacks in Q4 2025, another $1,313.5 million from January 1 to February 20, 2026, and a quarterly dividend raised to $0.91.

Recent Developments (Q2 and Q3 2026)

Roper closed the Indicor Instrumentation sale to AMETEK on August 26, 2026, bringing $1,239.2 millione of pre-tax cash. Indicor gains lifted nine-month net earnings to $2,162.1 million, so headline EPS overstates the run rate. Operations were steadier: organic growth rose from 4.9% in Q2 2026 to 6.7% in Q3 2026, and Q3 2026 revenue reached $2,171.8 million. Adjusted EBITDA margin slipped to 39.8% from 40.2%. Management raised full-year adjusted EPS guidance twice, to $22.35–$22.40. Net debt to net capital fell to 32.9% from 36.9% at mid-year. Shares outstanding dropped to 99.0 million. A shareholder push for a spin-off review failed at the May 2026 meeting.

Bull case: guidance keeps rising, backlog grew 9.4% to $3,471.6 million, and over $6 billion of deployment capacity remains. Bear case: at 33.8x earnings as of the November 1, 2026 filing date, the stock is priced richly while margins compress and leverage stays above year-end levels.

What to watch: Indicor Flow Controls close and its roughly $600 million of proceeds in Q4 2026; margin trend against the $5.95–$6.00 Q4 EPS guide

Third-quarter net revenues rose 8% to $2.17 billion, with organic revenue growth of 7% and acquisitions contributing 1%. GAAP net earnings increased 22% to $485 million, while adjusted net earnings rose 5% to $586 million. Adjusted EBITDA increased 7% to $864 million, and GAAP diluted EPS increased 33% to $4.88 while adjusted DEPS increased 15% to $5.89. The company deployed $436 million toward three bolt-on acquisitions (iPipeline, Procare and Strata) during the quarter and received $1.2 billion in proceeds from Indicor's sale of its instrumentation businesses. Management raised full-year 2026 adjusted DEPS guidance to $22.35 to $22.40, up from $22.15 to $22.30, and guided fourth-quarter adjusted DEPS to $5.95 to $6.00. Nine-month GAAP net earnings of $2.16 billion were inflated by a $1.06 billion equity investment gain tied to Indicor, which the company excludes from adjusted results. Balance sheet activity was significant over the first nine months: the company repurchased $2.73 billion of common stock, and treasury stock rose to $3.25 billion from $516 million at year-end 2025. Current portion of long-term debt increased to $1.42 billion from $705 million, and total stockholders' equity declined to $19.17 billion from $19.88 billion. On October 1, 2026, he will receive an equity award with a grant date fair value of approximately $224,583, representing the pro-rata value of a full-year non-employee director award of $385,000. Because he elected to receive his annual cash retainer in equity, he will also receive a $5,000 equity award, representing the pro-rata value of the $30,000 cash retainer for the first six months of the Board year. He will also enter into the Company's standard indemnification agreement for directors and officers. The filing attaches Exhibit 99.1, a press release describing Mr. Dubey's background as Chief Executive Officer and Chief AI Officer of NTT DATA, Inc. and a Director of NTT DATA Group Corporation. Management attributed 5% of that growth to organic revenue and 3% to acquisitions, with no foreign exchange contribution. GAAP net earnings rose to $1,168.5 million from $378.3 million, but the increase was driven largely by an $835.2 million equity investment gain tied to the company's minority stake in Indicor. Third-quarter 2026 adjusted DEPS is guided to $5.75 to $5.80. Guidance excludes future acquisitions or divestitures, proceeds from Indicor's pending divestiture of its instrumentation businesses, and potential share repurchases.
