02—Overview
M&T Bank Financial Overview 2021–2025
Updated Nov 4, 2026M&T repurchased $2.66 billiona of its own stock in FY2025, nearly equal to the $2.85 billion it earned. That is the story: a bank that has stopped growing through acquisition and now returns almost all of its profit to shareholders, while cleaning up the credit problems that held it back in FY2023 and FY2024.
The long-term arc is clear. Net income grew from $1.86 billion in FY2021 to $2.85 billionb in FY2025, and diluted EPS rose from $13.80 to $17.00. The path was uneven. The April 2022 People's United deal lifted net interest income 53% to $5.86 billion in FY2022, but it also carried $432 million of after-tax merger costs. Earnings then slipped 6% in FY2024 as the net interest margin fell to 3.58% from 3.83%.
The FY2025 recovery rests on credit and margin. Nonaccrual loans fell to $1.25 billionc, or 0.90% of loans, from $1.69 billion in FY2024. The provision dropped 17% to $505 million. The margin widened to 3.67%, and other income rose 13% to $2.74 billion. The trade-off is thinner capital: the CET1 ratio ended FY2025 at 10.84%, versus 11.68% a year earlier. At the close of FY2025, the shares traded at $201.48, or 11.9x earnings.
Recent Developments (Q1 and Q2 2026)
M&T posted record earnings of $818 milliond in Q2 2026, or $5.32 per diluted share, up from $664 million in Q1 2026. The efficiency ratio improved to 52.8% from 58.3%, and average loans rose $3.0 billion on commercial lending. Momentum cooled in Q3 2026: net income fell to $775 million, the margin slipped to 3.65%, and net charge-offs rose to $127 million. The bank also added a 6.625% Series L preferred issue in July 2026 and named Delaware North CEO Jeremy Jacobs, Jr. to its board.
The bull case is steady buybacks, with $1.71 billione repurchased in the first half, and full-year guidance for net interest income of $7.2 billion to $7.35 billion. The bear case is rising credit costs, a CET1 ratio near 10.16%, and unresolved Tricolor litigation at Wilmington Trust. At 13.9x earnings as of the August 3, 2026 filing date, the stock looks moderately priced, though that multiple predates the Q3 2026 margin decline.
What to watch: CET1 staying within the 10.0% to 10.25% Q4 2026 outlook; net charge-offs and nonaccrual loans after the Q3 2026 rise

- 8-KM&T Bank 8-K Report, Financial Results (Oct 16, 2026)On October 16, 2026, M&T Bank Corporation furnished an 8-K reporting its third quarter 2026 results (Item 2.02) and posted an earnings investor presentation (Item 7.01). Both are furnished, not filed. Net income was $775 million, or $5.04 diluted earnings per common share, compared with $818 million and $5.32 in the second quarter of 2026 and $792 million and $4.82 in the third quarter of 2025. Diluted net operating earnings per share were $5.08, and the CET1 capital ratio was an estimated 10.16% at September 30, 2026, versus 10.19% at June 30, 2026 and 10.99% a year earlier. Taxable-equivalent net interest income was $1.805 billion, roughly flat quarter over quarter, while the net interest margin narrowed to 3.65% from 3.70%. Average loans grew $2.6 billion sequentially, led by commercial real estate (up $1.6 billion). Noninterest income was $743 million and noninterest expense was $1.393 billion, up 3% from the prior quarter, driven by outside data processing and software costs. The provision for credit losses rose to $135 million from $120 million, and net charge-offs were 0.35% of average loans, up from 0.23%. The company repurchased 1.3 million shares for $323 million during the quarter. Nonaccrual loans rose to $1.298 billion from $1.208 billion. The presentation includes 4Q26 outlook guidance: taxable-equivalent net interest income of $1.83 to $1.85 billion, fee income of $710 to $730 million, GAAP noninterest expense of $1.39 to $1.41 billion, net charge-offs of 35 to 40 basis points, and a CET1 ratio of 10.0% to 10.25%.
- 8-KM&T Bank 8-K Report, Regulation FD Disclosure (Sep 28, 2026)M&T Bank Corporation furnished this Form 8-K under Item 7.01 (Regulation FD Disclosure) to announce changes to how it presents income and balance sheet items beginning in the third quarter of 2026. The company will reclassify several Other income categories, including combining Trust income and Brokerage services income into Trust and investment services income, moving debit card interchange out of Service charges on deposit accounts into Card revenues, and reclassifying certain items into Letter of credit and credit-related fees and Capital markets and advisory revenues. Mortgage banking revenues and Gain (loss) on bank investment securities are unchanged. The company states these changes will have no impact on total Other income, Income before taxes, Net income or earnings per common share. The filing also changes balance sheet and disclosure presentation. Loans held for sale will be shown separately from loans held for investment on the Consolidated Balance Sheet and in the Average Balance Sheet and Taxable-equivalent Rates disclosures, and related loan yields and certain loan-based credit quality ratios will exclude loans held for sale. Exhibit 99.1 provides unaudited supplemental historical financial information, restated retrospectively to the new presentation for periods from the first quarter of 2024 through the second quarter of 2026. The exhibit notes that a new general ledger platform implemented in the second quarter of 2026 also led to a methodology change for annualized taxable-equivalent rates, with prior amounts adjusted to conform. For investors, the restated data shows the reported trajectory on the new basis. Net income was $818 million in the second quarter of 2026 versus $664 million in the first quarter of 2026, and $1,482 million for the six months ended June 30, 2026 versus $1,300 million for the same period of 2025. Total assets were $219.26 billion at June 30, 2026, total deposits were $168.89 billion, and net interest margin was 3.70% in both the second and first quarters of 2026. Investors should note that the reclassifications affect category-level revenue comparisons, not totals, so line-item trends should be read against the restated figures rather than previously reported ones.

The company posted the presentation to its Investor Relations website and may use it in conversations with investors and analysts. The presentation also cites a 2026 stress test result that would imply a reduction of the stress capital buffer to the 2.5% minimum.
- 8-KM&T Bank 8-K Report, Rights Modification (Jul 21, 2026)On July 17, 2026, M&T Bank Corporation filed a certificate of amendment with the New York State Department of State creating a new series of preferred stock, the Perpetual 6.625% Non-Cumulative Preferred Stock, Series L, with a par value of $1.00 per share and a liquidation preference of $10,000 per share. The filing was made in connection with an Underwriting Agreement dated July 16, 2026, under which M&T agreed to sell 24,000,000 depositary shares, each representing a 1/400th interest in a share of Series L Preferred Stock. On July 21, 2026, M&T completed the public offering. The Series L Preferred Stock ranks senior to common stock and equally with its outstanding Series F, H, I, J and K preferred stock with respect to dividends and liquidation distributions. Holders are entitled to noncumulative cash dividends, when, as and if declared, based on the $10,000 per share stated amount (equivalent to $25 per depositary share), accruing at 6.625% per annum and payable quarterly on March 15, June 15, September 15 and December 15, beginning September 15, 2026. Dividends may not be declared or paid if doing so would cause M&T to fail to comply with applicable laws, including capital adequacy rules, or if required regulatory approvals have not been received. If dividends are not declared on the Series L Preferred Stock for the most recent period, M&T's ability to pay dividends on or redeem common stock and junior or parity preferred stock is restricted. The Series L Preferred Stock is perpetual with no maturity date. M&T may redeem it in whole or in part on any dividend payment date on or after September 15, 2031, or in whole within 90 days following a regulatory capital treatment event, at $10,000 per share ($25 per depositary share) plus any declared but unpaid dividends. Voting rights are limited to specified matters, including authorizing senior stock, certain changes to the Series L terms, certain share exchanges, reclassifications, mergers or consolidations, and electing directors following certain dividend non-payments.
