02—Overview
Samsara Financial Overview 2022–2026
Updated Nov 4, 2026Samsara cut its net loss from $355.0 million in FY2022 to $9.1 milliona in FY2026, while revenue nearly quadrupled. That is the core thesis: a subscription business (about 98% of revenue) is scaling faster than its costs and now sits at GAAP breakeven.
Revenue grew from $428.3 million in FY2022 to $1,618.6 millionb in FY2026. Growth slowed from 71% to 33% by FY2025, but margins moved the other way. Gross margin rose from 71% to 77%. Non-GAAP operating margin climbed from (27)% in FY2022 to 9% in FY2025. Cash generation flipped too: adjusted free cash flow was negative $179.7 million in FY2022, versus positive free cash flow of $207.4 million in FY2026. ARR reached $1,889.9 million, customers above $100,000 in ARR hit 3,194, and cash and investments stood at $1,236.9 million.
The catch is stock-based compensation of $315.0 millionc in FY2026, which still leaves a GAAP operating loss of $52.6 million. Investors have not paid up for the turnaround yet. Shares closed FY2025 at $51.50 with EPS of -$0.28, then closed FY2026 at $28.05 with EPS of -$0.02. With earnings negative at both dates, no meaningful P/E exists. The market priced the stock lower even as the loss per share shrank.
Recent Developments (Q1 and Q2 2027)
Samsara posted its fourth straight GAAP-profitable quarter in Q2 2027, with revenue of $508.4 milliond, up 30% year over year. Growth held near 30% across both quarters, while non-GAAP operating margin widened to 21% from 15%. Gross margin dipped to 75% in Q1 2027 on cloud and cellular costs, then recovered to 77%. Management raised FY2027 revenue guidance to $2.043 billion–$2.047 billion, up from $2.005 billion–$2.013 billion. Samsara also reincorporated in Nevada on June 1, 2026, won a $30.3 million arbitration award against Motive, and committed to $900 million of cloud hosting purchases through July 2031.
The bull case: ARR reached $2,124.7 millione, and remaining performance obligations of $4,285.2 million support continued growth. The bear case: guided growth slows to 24% in Q3 2027, and GAAP operating income was only $4.9 million. At $40.15 as of September 7, 2026, the stock has no meaningful P/E, since annual EPS was -$0.02.
What to watch: Q3 2027 revenue against the $514–$516 million guide; gross margin as cloud and AI costs rise

- 8-KSamsara 8-K Report, Rights Modification (Jun 1, 2026)Samsara Inc. filed this Form 8-K to report that its reincorporation from the State of Delaware to the State of Nevada became effective on June 1, 2026, at 12:02 a.m. Pacific Time. The company filed a certificate of conversion in Delaware and articles of conversion in Nevada on May 28, 2026. The filing states that the reincorporation did not result in any change in the business, jobs, management, properties, office locations, number of employees, obligations, assets, liabilities, or net worth, other than costs related to the reincorporation. It also states that the reincorporation did not materially affect the company's material contracts with third parties. As a result of the change, the company is now governed by Nevada law, its Nevada articles of incorporation, and Nevada bylaws approved by its board. Each outstanding share of Class A and Class B common stock of the Delaware corporation automatically converted into one share of the corresponding class of the Nevada corporation, and outstanding restricted stock units, options, and rights converted into equivalent awards on the same terms. Stockholders do not need to exchange their stock certificates. The Class A common stock continues to trade on the New York Stock Exchange under the symbol "IOT." The filing states that certain stockholder rights changed, and it refers to an Information Statement filed May 11, 2026 for a detailed description. The company also entered into new indemnification agreements with its executive officers and directors.
- 8-KSamsara 8-K Report, Shareholder Vote Results (May 1, 2026)Samsara Inc. (IOT) filed a Form 8-K reporting under Item 5.07 (Submission of Matters to a Vote of Security Holders) that certain stockholders holding at least a majority of the voting power of the Company's outstanding capital stock adopted resolutions by written consent on April 29, 2026 to approve reincorporating the Company from Delaware to Nevada by conversion (the "Nevada Reincorporation"). The filing states that the Company will file a Schedule 14C information statement, to be mailed to all holders of record as of the close of business on April 28, 2026, and that copies of the proposed plan of conversion, Nevada articles of incorporation and Nevada bylaws will be filed as appendices to that Schedule 14C. The consenting stockholders are identified as a group of trusts, annuity trusts and related trustees associated with Sanjit Biswas and John C. Bicket, who as of April 28, 2026 together held 1,890,352 shares of Class A common stock and 190,739,972 shares of Class B common stock. The filing states this represents approximately 76.7% of the voting power of the Company's outstanding capital stock entitled to vote. Under Rule 14c-2 under the Securities Exchange Act of 1934, the Company plans to effect the Nevada Reincorporation no earlier than twenty calendar days after the Schedule 14C begins to be mailed to holders of record. For investors, the key takeaway is that the reincorporation is approved by written consent of a controlling voting bloc, so no stockholder meeting will be held, and the change will take effect after the information statement period.
